“The organization has members.The categories of membership are: business, lifetime, individual, civic/community service organization with paid staff, and civic/community service organization that are volunteer-driven. Members in the business and lifetime categories have voting rights (1 vote), participate on the Board of Trustees, and participate in group rated benefit plans.”

“Members in the business and lifetime categories elect the governing body (Board of Trustees) and have 1 vote each. Elections are held annually. Individuals on the governing body must be members of the association and represent for-profit entities. They are elected to 3 year terms. Trustee positions may not be filled by any publicly elected officials. The Board of Trustees may have a minimum of 13 and maximum of 19 members.”

“Decisions of the governing body (Board of Trustees) are subject to approval by all members. Members elect the Board of Trustees, have the power to remove a Trustee, and must approve any effort by the Board of Trustees to dissolve the organization. Members in the business and lifetime membership categories have voting rights (1 vote), participate on the Board of Trustees, and participate in group rated benefit plans.”

“Form 990 is reviewed by President/CEO and Board Treasurer prior to filing. The Form 990 is made available to any member of the voting board upon request after filing.”

“Each board of trustee member, officer, and employee of the organization are required to annually review the organization's formal Conflict of Interest Policy and acknowledge in writing that they are in agreement with the terms thereof. Each individual must annually complete a disclosure form identifying any relationships, positions, or circumstances they are involved in that could contribute to a conflict of interest arising. These forms are reviewed by the Chair, President/CEO, and any current board trustee upon requests along with any committee appointed to address Conflicts of Interest. An individual who has a conflict of interest:1. Must disclose all material facts prior to board/committee action.2. Shall not participate in or be present for board/commitee discussion of the matter except to disclose material facts and respond to questions.3. Shall not be included in determining the presence of a quorum. 4. Shall not vote and shall not be present in the meeting room, physically or virtually, when the vote is taken (unless taken by secret ballot).”
