Governance Explanations

Form 990, Part VI, Section B, line 11B

The form 990 is reviewed by senior finance staff of talbert house, sole member of gateway recovery, inc. And the public accounting firm that assists in its preperation. The form 990 is then presented to senior management and the finance committee of talbert house, the sole member. The form 990 is sent electronically to all members of the board of trustees prior to its filing.

Form 990, Part VI, Section B, line 12

Possible conflicts of interest are monitored by an annual mailing to the board of trustees in which they are asked to disclose any relationships with any person or business that may be a source of conflict of interest. Conflict of interest policy regarding employees is emphasized in orientation as well as ongoing annual trainings and is included in the corporate compliance plan.

Form 990, Part VI, Section B, line 15

An independent personnel and compensation committee of the board of directors reviews executive compensation for the organization's ceo and other officers and vice presidents. They utilize comparable data and an outside compensation consulting firm to analyze and evaluate the organization's executive compensation, this independent board committee makes its recommendations as to compensation annually to the board of directors, which then approves or modifies their recommendation for the coming fiscal year.

The organization has an executive committee comprised of of the board chair (who shall act as chair of such committee), the immediate past chair, the other elected officers of the corporation and such other trustee or trustees appointed by the board of trustees from time to time. Part X, Line 2:

The Agency is a not-for-profit entity exempt from federal income taxes under provisions of Section 501(c)(3) of the Internal Revenue Code. The Agency has adopted accounting guidance which require that a tax position be recognized or derecognized based on a "more likely than not" threshold. This applies to positions taken or expected to be taken in a tax return. The Agency does not believe its financial statements include any uncertain tax positions. The Agency's income tax filings are subject to audit by various taxing authorities. The Agency's policy with regards to interest and penalties is to recognize interest through interest expense and penalties through other expense. The Agency does not believe it has any income that would be considered unrelated business income.
