Governance Explanations

Form 990, Part VI, Section B, Line 11

Prior to filing with the internal revenue service, management provides the form 990 to the board of directors for review.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is contained in the organization's by-laws. The board of directors reviews any activity that could give rise to potential conflicts of interest at each board meeting and board committee meeting. A general review for the conflicts of interest occurs annually by the ceo and board of directors.

Form 990, Part VI, Section B, Line 15A

The board utilized a salary survey of regional not-for-profit organizations to establish the initial compensation of the ceo and subsequent adjustments have been based on annual performance evaluations, salary surveys, and general compensation adjustment guidelines set by the board that are applicable to all employees.

Form 990, Part VI, Section C, Line 19

The organization provides copies of its governing documents, conflict of interest policy, and financial statements upon written request.

FORM 990, PART VI, SECTION C, LINE 18:

Form 990 is widely available on public websites, such as guidestar. Other documents can be provided upon written request.

Financial Statement Notes

PART V, LINE 4:

The endowment funds consist of board-designated funds and are utilized to support the tax exempt programs operated by the ywca of dayton

PART X, LINE 2:

Accounting principles generally accepted in the united states of america require management to evaluate tax positions taken by the organization and recognize a tax liability if the organization has taken an uncertain position that more likely than not would fail to be sustained upon examination by the internal revenue service. The organization is exempt from federal income taxes and management believes the organization has not engaged in any activities that would disqualify it from tax-exempt status or incur a tax obligation for the years ended december 31, 2014 and 2013. The organization believes their estimates are appropriate based on current facts and circumstances. The organization is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress. The organization believes it is no longer subject to income tax examinations for years ended prior to december 31, 2011. The organization's policy with regard to interest and penalty, if incurred, is to recognize interest through interest expense and penalties through other expenses.
