Governance Explanations

Form 990, Part VI, Section A, Line 6

The members of the corporation shall be the following individuals: (1) the persons currently serving as trustees of the seven hills school (the "school"); (2) the persons currently serving as the officers of the school; (3) each parent, or guardian of a child or children currently enrolled in the school; (4) each person 18 years or older who has attended the school (or a predecessor school); (5) each person who has contributed financially to the school during its current fiscal year or one of the prior two fiscal years; (6) each person upon whom the board of trustees confers the status of lifetime member; and (7) each person who is serving as a member of the seven hills school advisory board.

Form 990, Part VI, Section B, Line 11B

As part of its scheduled governance practices, the organization's finance committee reviews the form 990 in its entirety with the head of school, and the school's director of finance and operations. The organization's auditing firm will be present to answer any questions that the finance committee wanted answered directly by the auditors. At the full board of trustee meeting, copies of the form 990 will be distributed to all attendees and then reviewed in detail. Either the director of finance and operations or the chair of the finance committee will answer questions regarding the form. The board is again made aware that the 990 is a form that must be filed every year with the federal government in order to maintain the organization's non-profit, 501(c)(3) status.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy and forms were distributed, via e-mail, along with other board material prior to the first board of trustee meeting of the school year. The policy was also posted on the board of trustees wiki. All voting members along with the head of school were asked to sign. The forms were collected at the september board meeting and are being stored by the head of school's administrative assistant. The conflict of interest policy addresses directly the steps to be taken when dealing with a potential or actual conflict.

Form 990, Part VI, Section B, Line 15

(a) the head of school salary is determined by the head of school reasonable compensation policy, in which, the president of the board of trustees and members of the executive committee meet to discuss the information gathered. On a yearly basis the school collects data from regional independent school organizations, such as independent schools association of the central states (isacs) and ohio association of independent schools (oais), to benchmark how the seven hills school is in relation to these other institutions in regard to salaries for its head of school. Additionally, the organization will review similar data with public schools in the area as well as with the national association of independent schools (nais) website database. (b) the same process is used to review the other key administrators, but this process is done through the head of school. Once the information is collected a review of the employees duties and job performance are part of an overall discussion of what the individual's compensation should be for the forthcoming fiscal year. Based upon the budget for the upcoming fiscal year, departmental heads then make a recommendation to the head of school for final contract specifications including duties and salaries. The head of school has final authority to make all salary and job duty decisions.

Financial Statement Notes

PART V, LINE 4:

The organization has adopted investment and spending policies for endowment assets that attempts to provide for annual spending distributions to support educational initiatives at the organization, and to provide financial security, as well as preserve the long-term purchasing power of the endowment without undue exposure to permanent loss of capital. Endowment assets include those assets of donor-restricted funds that the organization must hold in perpetuity or for a donor-specified period(s), and unrestricted funds. Under this policy, as approved by the board of trustees, the endowment assets are invested in a manner that is intended to achieve returns in excess of the rate of inflation over the investment horizon, achieve a balanced return of current income and modest growth of principal, minimize the probability of loss of principal over the investment horizon, and ensure the ability to meet all expected or unexpected cash flow needs. The organization recognizes the importance of preservation of capital but also recognizes that some risk is necessary to produce long-term investment results that are sufficient to meet the endowment's objectives. However, the organization emphasizes that investment managers are to make reasonable efforts to control risk, and will be evaluated regularly to ensure that the risk assumed is commensurate with the given investment style and objectives. Investment managers are expected to adhere to the investment management styles for which they were hired and will be evaluated regularly for adherence to investment discipline.

PART X, LINE 2:

The school is exempt from income tax under section 501(c)(3) of the internal revenue code. Contributions to the school qualify as charitable deductions. However, the school is subject to federal income tax on unrelated business income from the rental of its residential properties owned by the schools subsidiary. There was no tax charged against current operations. In the normal course of business, the organization is subject to examination by various taxing authorities. Although the outcome of tax audits is always uncertain, the organization believes that there are no significant unrecognized tax liabilities at june 30, 2019.
