Cfo presents the form 990 and audit to board for review, discussion and approval. Then it is filed.

Form 990, Part VI, Section B, Line 12C

Explanation of monitoring and enforcement of conflicts. Annually, at the first board meeting of the calendar year, urban healths board members, executive officers and employees are required to sign a conflict- of-interest statement and report any apparent conflict of interest. If any conflict is recognized, the individual must abstain from voting. All employees of urban health shall avoid any conflict of interest or appearance of conflict of interest between their own individual interests and those of urban health. The board governance committee monitors compliance with this policy.

Compensation review & approval process -ceo & top management. There was no change from prior year in the process of determining compensation for the organizations ceo and top management. The board evaluates the ceo annually. The following are used by the organization to establish compensation of the organizations ceo: 1. Compensation survey, and 2. Approval by the board or compensation committee. The compensation committee independently conducts an analysis of the budget, review of similar ceo compensation and surveys to determine appropriate salary.
