Each trustee must sign a conflict of interest acknowledgement upon commencement of association. Trustees: any trustee who may be involved in an msm realty, inc. Business transaction in which there is a possible conflict of interest shall promptly notify the chair of the board of trustees. The trustee will refrain from voting on such matter and the trustee, or the chair in the trustee's absence, will disclose the potential conflict of interest to the other board members before the vote takes place and such disclosures shall be recorded in the board minutes. Any transaction involving a potential conflict of interest shall have terms that are fair and reasonable as though msm realty, inc. Were dealing with an unrelated party.

PART X, LINE 2:

Msm realty, inc.(the organization) qualifies as a tax-exempt organization under section 501(c)(2) of the internal revenue code (the "irc"). As a not-for-profit entity, the organization is subject to unrelated business income tax ("ubit"), if applicable. In accordance with fasb asc 740, income taxes, the organization applies the "more likely than not" threshold to the recognition and derecognition of tax positions for its consolidated financial statements. Management has evaluated the organization's tax posistions and has concluded that there were no uncertain tax positions that qualified for either recognition or disclosure in these consolidated financial statements.
