“In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the conflict and be given the opportunity to disclose all material facts to the board or executive committee. After disclosure of the financial or non-financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the board or executive committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or executive committee members shall decide if a conflict of interest exists. Once the conflict of interest has been appropriately disclosed, the board (excluding the board member disclosing and any other conflicted board member) must decide whether or not those conflicted board members should vote on the matter (this is minimum), participate in any debate, or be present in the room during the debate and voting.”
“The independent membership of the board of directors annually conducts a performance reveiw of the executive director. “The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.”
