Governance Explanations

Form 990, Part VI, Section B, Line 11B

The treasurer, executive director, chair of the board of directors, and vice-chair of the board of directors, treasurer, and secretary review and comment on the draft form 990. This group shares their feedback with each other and agrees to any necessary edits. The revised form 990 is then sent electronically to all board members for their comment prior to the filing of the form. Any proposed changes are provided to the executive director, who makes any changes considered appropriate, seeking input from the chair of the board, and vice-chair, and treasurer as appropriate.

Each year in connection with the january board meeting, the board chair or designate provides all directors with a copy of the organization's conflict of interest policy and a questionnaire requesting information relevant to the conflict of interest policy. The completed questionnaires are returned to the executive director, who reviews them and brings any concerns to the board chair for further consideration and action, if necessary.

It is the policy of upworks, in accordance with u.s. Gaap, to assess any uncertain tax positions and, if necessary, record a tax asset or liability, and the related income tax expense, for any uncertain tax positions. Management has analyzed the tax positions taken by upworks and has concluded that as of december 31, 2017, there are no uncertain positions taken or expected to be taken that would require recognition of a liability or disclosure in the financial statements.

THE CLIENT MEETS FOR 1-HOUR A WEEK FOR TWELVE WEEKS WITH THE TWO VOLUNTEERS TO DO SELF-DISCOVERY OF WHO THEY ARE AND WHAT THEY DESIRE FOR THEIR FUTURE. THEY SET WEEKLY GOALS TO START ON THIS PATH FOR A MORE FULFILLING FUTURE. IN 2017, 42 VOLUNTEERS WERE TRAINED AND 28 CLIENTS COMPLETED THE PROGRAM. ALL 28 WERE EITHER EMPLOYED OR IN SCHOOL AT THE COMPLETION OF THE PROGRAM - 100% SUCCESS. VOLUNTEERS ALSO SERVE AS MENTORS, PROGRAM ADVOCATES, AND SPIRITUAL CARE GIVERS. UPWORKS ENGAGES COLLABORATIVE PARTNERS TO SUPPORT CLIENTS IN AREAS OUTSIDE UPWORKS FOCUS OF WORK.

SCHOOLS VALUE CARING ADULTS TO INVEST IN THE LIVES OF ITS STUDENTS IN AND OUT OF THE CLASSROOM.
