The Board of Director disclosures are reviewed by management. Any issuesare taken to the Board of Directors for esolutuon, excluding the Board member for whomthe conflict exists.

The Board of Directors mandates the compensation philosophy for the entire organization.The CEOs salary is reviewed on an annual basis. The Boards Executive Committee periodically conducts a review of executive compensastion. They formally evaluate based on performance and organizatioinal goals after seeking input from each board member, as well as leadership. In addition the board conducts an independent review of executive compensation. Once data is gathered and analyzed by the committee, the recommended compensation package for the CEO is presented to the full board for approval.

All senior leadership positions are evaluated and matched to market data of both for-profit and non-profit organizations where similar positions exist. The CEO approves the specific salary of the ED and CFO within guidelines based upon recommendation of the executive committee. ED and CFO are responsible to approve grade levels and specific salary amounts of any senior leadership employees who report to them in accordance with Wendell Scott Foundations salary administartion guidlines & based on EC recommendation

Purpose and Scope of Services:WSF facilitated a one-week camp on-site at NCI to promote and raise awareness in the areas of education, careers and learning activities in STEM. The program was titled Steer into STEM Motorsports Camp. The objectives of the camp were the following:1.Steer into STEM Motorsports Camp participants increase interest in STEM education, STEM careers, and STEM learning activities.2.Steer into STEM Motorsports Camp participants will develop job-readiness skills and technological concepts.3.Steer into STEM Motorsports Camp participants will learn to value education, their community, and applying organizational knowledge to employment needs.

IRS990/Desc0Camp Cultivation-The Wendell Scott Foundation partnered with the United States Department of Agricultures Natural Resources Conservation Service (NRCS) to create Camp Cultivation, an agriculture and STEM summer camp on June 23-25, 2019. The residential camp was held at Virginia State University (VSU) and was designed to provide students who are typically underrepresented in agricultural and STEM disciplines an opportunity to learn more about the various career paths that could be available to them if they pursued an agriculture or STEM degree. During the camp students also had sessions with staff from admissions and financial aid. They were able to provide students with important information about applying to VSU.
