Mission

Nexus' mission is to build more engaged and powerful communities by supporting community building initiatives that expand community wealth and foster social and human capital.

Nexus' work ensures that people participate in the economic, civic and social activities that improve their communities and advance racial, social and economic equity. Nexus works on the East Side of St. Paul, in North and South Minneapolis, and in the broader Twin Cities region. Nexus advances its mission by focusing on three key activities: 1. Strengthening organizations: Nexus builds the capacity of the community-based organizations and their leaders to promote equitable and sustainable change in their communities. This is accomplished through funding and on-the-ground technical assistance. 2. Developing innovative initiatives: Nexus creates the space and provides support to innovative initiatives that advance equity and sustainable change. 3. Aligning and amplifying resources: Nexus intentionally connects local efforts to broader regional initiatives, linking neighborhoods to regional institutions, decision-making and economic opportunities.

The Finance Director does an initial review. The finance committee and the Board review the Form 990 with organizational leadership and tax preparers.

Form 990, Part VI, Section B, Line 12C

The Board Chair and President & CEO must be notified of any potential conflicts, and they present each matter to the Board for vote. Directors, at-large committee members, and staff are asked to sign a conflict of interest statement at the beginning of each calendar year. Any conflicts should be discussed and are subject to the Board's vote, and the conflict must be stated and recorded in the meeting minutes. In addition, they monitor by making sure any persons with a conflict abstain from voting on issues that are related to their conflict.

Reclaiming Our Own Time (ROOT) is a program to help BIPOC people embrace rest and restoration as fundamental to social justice work. ROOT's offerings include two sabbatical programs, regular in-person and virtual events, and a monthly curated newsletter containing resources and opportunities. The Nexus Boards and Commissions Leadership Institute (BCLI) is a seven-month leadership program that equips BIPOC and other shut-out community members to serve on city, county, metro and state boards and commissions.

Schedule D, Part IV, Line 2B

The organization acted as a fiscal sponsor for various organizations. The Organization has variance power over the fiscal sponsor contributions it receives. The fiscal sponsor contributions received by the Organization and investment income allocated to fiscal sponsor funds are recognized as contributions and investment income with donor restrictions. The expenditures incurred for the fiscal sponsor programs are recognized as grant expenses by the Organization, and the corresponding net assets are released from restrictions.

Schedule D, Part X, Line 2

The Organization's activities are generally exempt from federal and state income taxes under Section 501(c)(3) of the Internal Revenue Code. Since the Organization is exempt from federal and state income tax liability, no provision is made for current or deferred income tax expense. The Organization is not a private foundation. Management has determined that the Organization is not subject to unrelated business income tax. Management is not aware of any transactions that would impact the Organization's tax-exempt status. The Organization follows the guidance of the Accounting Standard Codification (ASC) 740, Accounting for Income Taxes, related to uncertainties in income taxes, which prescribes a threshold of more likely than not for recognition and derecognition of positions taken or expected to be taken in a tax return. For the years ended December 31, 2024 and 2023, management of the Organization is not aware of any material uncertain tax positions. All tax-exempt entities are subject to review and audit by federal, state and other applicable agencies. Such agencies may review the taxability of unrelated business income, or the qualification of the tax-exempt entity under the Internal Revenue Code and applicable state statutes. For federal tax purposes, the tax returns remain open for possible examination for a period of three years after the respective filing deadlines of those returns.

IRS990/Desc0Open Road Fund: The Open Road Fund is a community fund that redistributes money to present-day descendants of the Transatlantic Slave Trade to build Black wealth in Minnesota, North Dakota, and South Dakota. We make $50,000 wealth-building gifts to Black individuals to create "tangible pathways to liberation, prosperity, and healing on our own terms." In 2024, we made gifts to 100 individuals and provided individual financial counseling to help recipients achieve their goals. We also provide public webinars on financial topics (financing education, home ownership, and business) and healing led by Black experts and presented through a Black cultural lens.

IRS990/ProgSrvcAccomActy2Grp/Desc0Leadership: The Leadership work stream includes two programs: Reclaiming Our Own Time (ROOT), and the Boards and Commissions Leadership Institute (BCLI). Reclaiming Our Own Time (ROOT) is a program to help BIPOC people embrace rest and restoration as fundamental to social justice work. ROOT's offerings include two sabbatical programs, regular in-person and virtual events, and a monthly curated newsletter containing resources and opportunities. In 2024, we received 1,100+ applications for 10 sabbaticals for BIPOC movement leaders. Each sabbatical fellow received $30,000 to replace income for their three-month rest period, $5,000 for additional healing and wellness services, participation in three gatherings of sabbatical fellows, and ongoing individual coaching. We reached an additional 400+ individuals through related events including sacred spaces, the Reimagining Rest series, and three pop-up events all designed to help people explore the various ways we can experience rest and restoration and to recognize rest as a birthright for all people. The Nexus Boards and Commissions Leadership Institute (BCLI) is a seven-month leadership program that equips BIPOC and other shut-out community members to serve on city, county, metro and state boards and commissions. The 2023-2024 Cohort included 12 fellows who completed 80 hours of training and individual assignments and received stipends of $500 each for their participation. BCLI staff will now help graduates obtain appointments on state and local boards or commissions with the goal of half of graduates receiving appointments within the next 12 months.

IRS990/ProgSrvcAccomActy3Grp/Desc0Ownership: The Ownership work stream includes two programs: The Shared Ownership Center @ Nexus (SOC@N) and North Star Black Cooperative Fellowship (North Star). SOC@N is a bold effort to change the face of ownership by promoting shared-ownership business models, including worker cooperatives and real estate investment cooperatives. Through this work, SOC@N supports locally anchored businesses and more equitable working environments that help grow the region's economy. It advances worker ownership by seizing opportunities presented by the wave of retiring business owners in Minnesota and supports community ownership of resources by placing real estate in the hands of those that live and work there with a particular focus on BIPOC ownership. In March 2024, SOC@N launched the St. Paul LOCAL Fund in partnership with the City of St. Paul. Over the next three years, they will redistribute ARP funds to real estate and worker-owned cooperatives in areas of St. Paul hardest-hit by COVID-19. North Star is a seven-month fellowship focused on Black American cooperative economics and the history of Black cooperative economic thought and practice. In our curriculum, we center the wisdom and experience of those who share the ancestry of enslaved Africans in the United States and place value on the legacy of Black collective care. North Star's 2023-2024 cohort included 23 fellows representing 9 innovative cooperatives and collectives. Cohort members received $500 stipends for participation and the opportunity to apply to the North Star Alumni Fund for technical assistance grants for their cooperatives.
