“Cagtc has entered into a management agreement with nessle and blakey , llc, a public affairs and communications company located in washington, d.c. Nessle and blakey , llc provides office space, management and accounting support, and professional services.”

“Cagtc's by laws have established two classes of members: standard members: any public, private, for profit or nonprofit organization engaged in freight industry transportation concerns, or with a particular interest in advancing cagtc's stated objectives, and have provided sufficient monetary and/or inkind contriutions as determined by the board of diretors. Each standard member shall designate no more than one person to serve as its primary representative with respect to all membership matters. Associate members: any other individual or organization interested in promoting the advancement of the freight transportation, but have not provided sufficient monetary and/or inkind contributions as determined by the board of directors. Associate members shall have no voting rights.”

“The membership is allowed to elect board members. Cagtc staff solicits nominations from the membership. A nominating committee, appointed by the chariman, reviews and evaluates the nominees and recommends the incoming slate of directors. The membership votes for or against the full slate of names at cagtc's annual meeting. Cagtc staff will provide voting options for members unable to attend the annual meeting.”

“The board of directors has delegated the executive director to review the form 990 with the preparer before it is filed. Any significant matters discussed are presented to the full board at their next scheduled meeting.”

“Each member of the board of directors is required to review and sign the conflict of interest policy annually.”

“Cagtc makes its governing documents, conflict of interest policy and financial statements available to the public upon written request.”
