“The management of the Association is delegated to TREA LLC dba Abney Tauchen Group, which performs all general and financial administrative duties, event planning, and advocacy. Total compensation paid to TREA LLC for these services was $105,600 during 2022.”

“A member may designate an individual as its delegate to represent it with respect to business of the Chapter, and may also designate an alternate delegate who may vote in the absence of the delegate. Appointment of a delegate or an alternate delegate shall become effective upon the receipt by the president or the secretary of the Chapter of notice of such appointment, and the delegate or alternate delegate shall be empowered to represent a member until the member has otherwise notified the president or secretary. Principal, Associate, Principal Affiliate and Associate Affiliate members, as such membership categories are defined by NAIOP Corporate, shall be entitled to vote.”

“No later than November 1 of each year, the Slate of Directors shall be presented to the members of the Chapter by mail or e-mail. The members of the Chapter shall have a minimum of fifteen (15) days within which to return a yes or no vote with respect to the Slate of Directors. The Slate of Directors will be approved if there are more yes votes than no votes.. If there are more no votes than yes votes, then a second Slate of Directors shall be prepared by the Nominations Committee and presented to the members of the Chapter by mail or email no later than December 1. The members of the Chapter shall again have a minimum of fifteen (15) days within which to return a yes or no vote with respect to the second Slate of Directors.”

“The Form 990 is reviewed by management prior to filing and is made available to the Board each year.”

“If any person who is a Director or officer of the Chapter is aware that the Chapter is about to enter into any business transaction directly or indirectly with himself or herself, any member of his or her family, or any entity in which he or she has any legal, equitable or fiduciary interest or position, including without limitation as a Director, officer, shareholder, partner or beneficiary, such person shall (a) immediately inform those charged with approving the transaction on behalf of the Chapter of his or her interest or position, (b) aid the persons charged with making the decision by disclosing any material facts within his or her knowledge that bear on the advisability of such transaction, and (c)not be entitled to vote on the decision to enter into such transaction.”
