Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is designed to foster public confidence in the integrity of excelsior action group ("eag"), its staff, and the board of directors and to protect eag's interest when it is contemplating entering a transaction of arrangement (hereinafter "a transaction") that might benefit the private interest of a board of directors member, staff member, or any person with substantial influence over the organization. Each board of directors member, a key employee of eag, and others that eag may identify annually sign a statement, by the last month of eag's fiscal year, that: 1.) affirms that the person has received a copy of this conflict of interest policy, has read and understood the policy, and has agreed to comply with the policy; and 2.) discloses the person's interests that could lead to conflicts of interest in the form attached to this policy. All such statements by directors and officers will be filed with the minutes of the meetings. The board of directors ask questions of and receive presentation(s) from the insider(s) and any other interested person(s) but shall deliberate and vote on the transaction in their absence. The board of directors ascertain that all material facts regarding the transaction and the insider's conflict of interest have been disclosed to the board of directors and compile appropriate data to ascertain whether the proposed transaction is fair and reasonable to eag. After exercising due diligence, the board of directors determine whether eag can obtain with reasonable efforts a more advantageous transaction from another entity or individual that would not give rise to a conflict of interest. If a more advantageous transaction is not reasonably possible, the board of directors determine whether the transaction is in eag's best interest, for its benefit, and whether it is fair and reasonable to eag and the majority of disinterested members of the board of directors then in office may approve the transaction.

Excelsior action group's board of directors has a process for reviewing and approving the compensation of the executive director on a regular basis to determine it is fair and reasonable with the goal of retaining employees at compensation levels within appropriate market range. The process for determining the compensation paid to the executive director includes the approval of the compensation arrangement in advance, by the board of directors, with all persons with a conflict of interest abstaining from the board's deliberation and discussion. The board reviews data of comparable compensation for similarly qualified nonprofit executives at similarly situated entities. The documentation of the board includes the terms of the transaction and the date of approval, the members who were present during the debate and vote on the transaction, a description of the comparable data and how it was obtained, and documentation of the basis for the determination.
