Passavant memorial homes' board of directors approve the board of directors of the life enrichment trust.

Form 990, Part VI, Section B, Line 11B

The life enrichment trust form 990 review and submission follows the following process: 1. The passavant memorial homes management team completes a first draft of the form 990. 2. The draft form 990 is submitted to passavant memorial homes' independent auditors for review and the passavant memorial homes management team makes changes to the form 990 that were identified by the independent auditors, as applicable. 3. Once the draft 990 is approved by the independent auditors, it is submitted to passavant memorial homes' legal counsel for review and endorsement. Following review from legal counsel, the passavant memorial homes management team makes additional changes to the form 990 per legal counsel's recommended revisions, as applicable. 4. Passavant memorial homes' legal counsel presents the final draft of the form 990 to the full board of directors for approval prior to filing with the internal revenue service.

The organization regularly and consistently monitors and enforces compliance with the conflict of interest and disclosure statement. Board members complete conflict of interest and disclosures statements annually. If an interested person has a conflict, he or she is recused from voting.

Form 990, Part VI, Section B, Line 15

The ceo, coo, cos, and cfo, as well as all officers who are employees and key employees, are employed and paid by passavant development corporation. The total compensation for each of these employees is allocated across passavant memorial homes and its subsidiaries and affiliates, in accordance with a comprehensive allocation plan, which is approved by the independent auditors and adopted by the board of directors. The comprehensive allocation plan is reviewed annually. In addition, the following are used to establish the compensation of the organization's ceo, coo, cos, and cfo, as well as all officers who are employees and key employees, ensuring that the organization is in accordance with the irs guidelines: the compensation committee (called executive committee), independent compensation consultant, compensation survey or study, and approval by the executive committee for recommendation to the board of directors for approval. Additionally, the board of directors has adopted a policy that precludes officers and executives from receiving total compensation in excess of the 75th percentile for like positions, as provided by the independent compensation consultant. Total compensation includes base salary, bonus, and benefits (including deferred compensation).

Articles From Annual Impact Report

2021 impact report title: persevering and expanding our efforts to continuously pursue our mission article by rick d. Senft, ceo and president, titled, "persevering to continuously pursue our mission" at passavant memorial homes family of services (pmhfos), our efforts are centered on our mission of empowering individuals with intellectual disabilities, autism, and behavioral health needs to live successfully in the community, while promoting choice and independence. In 2021, with the ongoing impact and changes associated with covid-19, our efforts have been directed towards reemerging from the pandemic and creating opportunities for the individuals we are privileged to serve to reengage in their communities in a safe manner. In early 2021, we were able to effectively facilitate covid-19 vaccination clinics with walgreens co. (walgreens) and rite aid corp. (rite aid), whereby all individuals we serve, as well as our dedicated staff, had the opportunity to receive the covid-19 vaccination on-site at pmhfos. As 2021 progressed, we ensured all individuals, as appropriate, were able to receive booster vaccinations for continued health and safety. In the midst of the vaccination efforts and as the prevalence of covid-19 changed in our communities, we ensured that our pmhfos covid-19-related protocols and secure web-based tools were updated accordingly to enable individuals to meaningfully reengage in their communities, while continuing to monitor and respond to covid-19. One of the updates we have made to provide opportunities for meaningful community engagement has been the implementation of a new community participation supports (cps) program. The new cps program promotes community involvement for individuals by focusing on the unique interests, needs, and goals of each individual. Unlike traditional day programs that are facility-based, passavant memorial homes' (pmh) cps program is 100% in the community. To highlight a few of many examples, community activities of program participants include volunteering at the salvation army, making pizza at a local restaurant, and joining other community members in art at the library. We have also safely re-introduced several annual pmhfos community events. In august, it was wonderful to see many board members, donors, and other supporters of pmhfos at the foundation's 28th annual golf classic, where we were able to raise more than $135,000 to further support the individuals we are privileged to serve. In december, we were blessed to continue our tradition of the christmas service at fruth chapel, where individuals and personnel were able to join together in-person to celebrate, with an option for livestreaming viewing as well. We have also continued to invest in additional tools and technology to support reemergence, as well as positioning pmhfos to continue to respond to covid-19. For example, in 2021, we installed biometric timeclocks at each of our more than 140 pmh homes, enhancing our ability to timely and accurately complete comprehensive contact tracing and testing, proactively preventing exposure. Amid the ongoing effects of covid-19 and transition to reemergence, across 2021, we also ensured that direct care employees continued to be honored for the compassionate care that they provide each and every day. For example, in celebration of direct support professional (dsp) recognition week, we financially recognized the critical efforts of our dsps by providing dsps an additional $5.00 per hour for all hours worked. As we have continued to reemerge from the covid-19 pandemic while ensuring health and safety, thank you to the boards of directors, community partners and supporters, and management team members for your ongoing support and efforts during this time of change and transition. And, of utmost importance, thank you to all of the devoted frontline staff who have continued to provide the highest quality of supports and compassionate care. Article by mary ann bolland, pmh board chair, titled, "expanding our efforts to continuously pursue our mission" across 2021, passavant memorial homes family of services (pmhfos) has not only persevered through the ongoing covid-19 pandemic, but we have also expanded our efforts to continuously increase our impact. Regarding covid-19, as i had shared within my reflections regarding pmhfos' response to the pandemic last year, i have continued to remain impressed by and proud of the dedication of rick d. Senft, ceo and president, the management team, and the direct care staff for their unwavering commitment in response to covid-19 for the individuals we are privileged to serve. Simultaneous to the covid-19 response, pmhfos expanded our impact in 2021 beyond our 2020 geographic presence. In particular, in 2021, passavant memorial homes (pmh) was honored to have been selected to operate the community residential homes that were previously operated by southwinds, inc. (southwinds). Since october, pmh has been privileged to provide optimal supports and services to the approximately 35 individuals with intellectual disabilities, autism, and behavioral health needs formerly served by southwinds, in the south hills and surrounding areas of pittsburgh, pennsylvania. To provide a seamless transition for the individuals and their families, as well as the dedicated, compassionate staff, pmh offered employment to all of southwinds' personnel and is maintaining the presence in the same local communities that southwinds previously operated, which is now referred to as the south hills region of pmh. It has been wonderful to hear of the positive experiences of individuals, and reactions of family members, regarding pmh's quality of supports and services to the individuals in pmh's south hills region. With the pressures of staffing shortages and the continued impact of covid-19, pmhfos is humbled and grateful to be able to offer support and provide services to additional individuals to further our mission. Additionally, as a faith-based organization, pmhfos is deeply rooted in service to others, and in 2021, pmhfos continued to honor our history and founding principles by taking action to help those who need it most by supporting communities in need across the country that were impacted by natural disasters. For example, after hearing about the deadly tornadoes that struck kentucky, illinois, arkansas, missouri, tennessee, and mississippi, rick d. Senft, ceo and president, requested that passavant memorial homes foundation (pmhf) provide support and assistance to those impacted. For this, pmhf provided support to the non-profit organization of brother's brother foundation, which provided food and supplies to affected areas. Individuals served residentially by pmh also helped in the support of brother's brother foundation's relief efforts by participating in an activity of making blankets that were sent to temporary housing shelters in kentucky. As another example, with the marshall fire in boulder, colorado, at the end of 2021, pmhfos reached out to organizations with aligned missions to identify how pmhfos could support those in most need. As a result, pmhfos was able to provide relief to individuals with intellectual disabilities, autism, and behavioral health needs who were personally impacted by the devastating fire. Most recently, pmhfos has supported the citizens of ukraine through donations to a number of organizations. These are among many other efforts and initiatives in the communities we serve, and in our neighboring communities. It is an honor to serve as board chair of an organization that continuously looks for opportunities to not only support those in our immediate community, but also the broader sphere of those who are in need. PART X, LINE 2:

Pmh, pmhf, let, let-nj, ads, and the housing initiative corporations are not-for-profit corporations as described under section 501(c)(3) of the internal revenue code (irc) and are recognized as tax exempt under 501(a) of the code. Accordingly, no provision for income taxes has been provided. Pdc is a for-profit corporation and is subject to federal and state income taxes. Pdc provides for income taxes in accordance with the asset and liability method. Under this method, deferred taxes are determined based on the difference between the financial statement and the tax basis of assets and liabilities using enacted tax rates in effect in the years in which the differences are expected to reverse. Deferred tax assets are provided for operating losses that are available to offset future taxable income and tax credits that are available to offset future federal income taxes. A valuation allowance is established for any deferred tax asset for which realization is not considered likely. Accounting principles generally accepted in the united states of america require the organization to evaluate tax positions taken by the organization and recognize a tax liability or asset if the organization has taken an uncertain position that more likely than not would be sustained upon examination by the internal revenue services (irs). The organization has concluded that as of june 30, 2022 and 2021, there are no uncertain positions taken or expected to be taken that would require recognition of a liability or asset or disclosure in the consolidated financial statements. Generally, tax returns for years ended june 30, 2019, and thereafter remain subject to examination by federal and state tax authorities.

ACCOUNTING PRINCIPLES GENERALLY ACCEPTED IN THE UNITED STATES OF AMERICA REQUIRE THE ORGANIZATION TO EVALUATE TAX POSITIONS TAKEN BY THE ORGANIZATION AND RECOGNIZE A TAX LIABILITY OR ASSET IF THE ORGANIZATION HAS TAKEN AN UNCERTAIN POSITION THAT MORE LIKELY THAN NOT WOULD BE SUSTAINED UPON EXAMINATION BY THE INTERNAL REVENUE SERVICES (IRS).
