Mission and Program Overview

Mission

The organization's mission is to provide primary health care for international and diplomatic communities living in uzbekistan, their families, and individual foreign citizens registered with the government of uzbekistan. As an extension to the purpose specified in the charter, the clinic additionally provides physical examinations for the u.s. Embassy, south korean embassy, embassy of great britain immigration/visa programs and others as needed. These services are provided through foreign organization contracts.

To provide primary health care for international and diplomatic communities living in uzbekistan.

Governance Explanations

Form 990, Part VI, Section A, Line 6

Timc shall have no less than 10 voting members and one non-voting member. The voting members shall consist of members of the expatriate community in tashkent, uzbekistan who receive medical services from tashkent international clinic. The non-voting member shall be the corporation's executive director or his/her designee.

Form 990, Part VI, Section A, Line 7A

Each member of record shall be entitled at every meeting of members to one vote in the election of directors, in the adoption, amendment and repeal of the by-laws and in all proceedings upon which the law confers voting power upon members entitled to vote in the election of directors. Directors shall be elected by a plurality vote. Each matter other than the election of directors, properly presented at any meeting, shall be decided by a majority of the votes cast on the matter. The election of directors and the vote on any other matter presented to a meeting shall be by written ballot only if so ordered by the chairman of the meeting or if so requested by any member at the meeting present in person or represented by proxy entitled to vote in such election or an such matter, as the case may be.

The organization's conflict of interest policy prohibits the purchase of goods or services from a company in which the organization or board member has any financial interest, restricts hiring of immediate family members, expects board members to recuse themselves from voting on issues and not take part in any discussions for which they have a conflict of interest, and requires that board members inform the board of any conflict of interest issues. When a conflict is discovered, the board chair will have the final decision to determine whether or not an actual or appearance of a conflict of interest exists. The board oversees the process at the direction of the board chair. A board/clinic member may be asked by the board/director to refrain from participating in discussions and voting related to an organization, business or individual with whom the member has an association; leave board meetings during discussions and voting on the issues related to the association and resign from the board because of the association. Form 990, part vi, section b, line 13: the organization's whistleblower policy is intended to encourage and enable employees and others to raise serious concerns internally so that the organization can address and correct inappropriate conduct and actions. It is the responsibility of all board members, officers, employees and volunteers to report concerns about violations of the organization's code of ethics or suspected violations of law or regulations that govern the organizaiton's operations. Violations or suspected violations may be submitted on a confidential basis by the complainant. Reports of violations or suspected violations will be kept confidential to the extent possible, consistent with the need to conduct an adequate investigation. The timc ltd's executive director is responsible to ensuring that all complaints about unethical or illegal conduct are investigated and resolved. The executive director will advise the board of directors of all complaints and their resolution and will report at least annually to the chair of the finance committee on compliance activity relating to accounting or alleged financial improprieties.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt5THE ORGANIZATION'S CONFLICT OF INTEREST POLICY PROHIBITS THE PURCHASE OF GOODS OR SERVICES FROM A COMPANY IN WHICH THE ORGANIZATION OR BOARD MEMBER HAS ANY FINANCIAL INTEREST, RESTRICTS HIRING OF IMMEDIATE FAMILY MEMBERS, EXPECTS BOARD MEMBERS TO RECUSE THEMSELVES FROM VOTING ON ISSUES AND NOT TAKE PART IN ANY DISCUSSIONS FOR WHICH THEY HAVE A CONFLICT OF INTEREST, AND REQUIRES THAT BOARD MEMBERS INFORM THE BOARD OF ANY CONFLICT OF INTEREST ISSUES. WHEN A CONFLICT IS DISCOVERED, THE BOARD CHAIR WILL HAVE THE FINAL DECISION TO DETERMINE WHETHER OR NOT AN ACTUAL OR APPEARANCE OF A CONFLICT OF INTEREST EXISTS. THE BOARD OVERSEES THE PROCESS AT THE DIRECTION OF THE BOARD CHAIR. A BOARD/CLINIC MEMBER MAY BE ASKED BY THE BOARD/DIRECTOR TO REFRAIN FROM PARTICIPATING IN DISCUSSIONS AND VOTING RELATED TO AN ORGANIZATION, BUSINESS OR INDIVIDUAL WITH WHOM THE MEMBER HAS AN ASSOCIATION; LEAVE BOARD MEETINGS DURING DISCUSSIONS AND VOTING ON THE ISSUES RELATED TO THE ASSOCIATION AND RESIGN FROM THE BOARD BECAUSE OF THE ASSOCIATION. FORM 990, PART VI, SECTION B, LINE 13: THE ORGANIZATION'S WHISTLEBLOWER POLICY IS INTENDED TO ENCOURAGE AND ENABLE EMPLOYEES AND OTHERS TO RAISE SERIOUS CONCERNS INTERNALLY SO THAT THE ORGANIZATION CAN ADDRESS AND CORRECT INAPPROPRIATE CONDUCT AND ACTIONS. IT IS THE RESPONSIBILITY OF ALL BOARD MEMBERS, OFFICERS, EMPLOYEES AND VOLUNTEERS TO REPORT CONCERNS ABOUT VIOLATIONS OF THE ORGANIZATION'S CODE OF ETHICS OR SUSPECTED VIOLATIONS OF LAW OR REGULATIONS THAT GOVERN THE ORGANIZAITON'S OPERATIONS. VIOLATIONS OR SUSPECTED VIOLATIONS MAY BE SUBMITTED ON A CONFIDENTIAL BASIS BY THE COMPLAINANT. REPORTS OF VIOLATIONS OR SUSPECTED VIOLATIONS WILL BE KEPT CONFIDENTIAL TO THE EXTENT POSSIBLE, CONSISTENT WITH THE NEED TO CONDUCT AN ADEQUATE INVESTIGATION. THE TIMC LTD'S EXECUTIVE DIRECTOR IS RESPONSIBLE TO ENSURING THAT ALL COMPLAINTS ABOUT UNETHICAL OR ILLEGAL CONDUCT ARE INVESTIGATED AND RESOLVED. THE EXECUTIVE DIRECTOR WILL ADVISE THE BOARD OF DIRECTORS OF ALL COMPLAINTS AND THEIR RESOLUTION AND WILL REPORT AT LEAST ANNUALLY TO THE CHAIR OF THE FINANCE COMMITTEE ON COMPLIANCE ACTIVITY RELATING TO ACCOUNTING OR ALLEGED FINANCIAL IMPROPRIETIES.
