Northwest behavioral health partnership, inc. (partnership) has subcontracted with southwest behavioral health management, inc. (corporation) for the purpose of monitoring the behavioral health services of the healthchoices program. Management duties for the partnership are carried out by the key employees of the corporation. The corporation's key employees are as follows: david mcadoo patricia piatt the partnership and corporation have a separate set of officers and directors. The corporation's officers and directors do not perform any management duties on behalf of the partnership. The corporation's officers and directors are as follows: brandon savochka - president sara stenger - vice president rebecca abramson - secretary/treasurer directors: tammy calderone kami anderson donna jenereski scott baldwin jennifer scott cheryl andrews colleen hughes

The governing board is composed of representatives from crawford, mercer, and venango counties (member counties). Northwest behavioral health partnership was created for the member counties and in the event of its dissolution, all of the partnership's assets would revert to the member counties.

The draft form 990 is prepared by the partnership's independent accountant based upon information provided by the partnership's management corporation staff. The partnership's management corporation staff then reviews the form 990 in detail. The board of directors then reviews and votes on the final form 990 prior to filing.

Form 990, Part VI, Section B, Line 12C

Conflict of interest policy is reviewed annually with directors. The executive director of the partnership's management corporation collects all board conflict declarations annually. All conflicts are made known to all board members. Corporate counsel and the chairperson of the board are then responsible for identifying and addressing material conflicts of interest.

Form 990, part vi, section b, lines 15a and 15b: employee compensation these questions are not applicable to the organization as it does not have any employees; therefore, there is no compensation to review, see discussion below regarding part vii, management company compensation for executive set by the management company. The philosophy/strategy of the management company is to attract and retain qualified staff. The 2014 compensation was based on a market analysis by 3c consulting performed in 2013. 3c developed a pay scale and benefits package based upon a midpoint of 90% of market that was implemented and carried forward by the management company. All management and executive compensation adheres strictly to the pay scale. The management company's board of directors personnel committee provides direct oversight of the pay scale and benefits package. The pay scale, pay rules and the specific compensation, including the ceo's compensation is reviewed and approved annually by the managament company's board personnel committee and voted on by the full board.
