Governance Explanations

Form 990, Part VI, Section A, Line 1A

The board shall appoint an executive committee which shall consist of at least five (5) members, comprised of the chair, the vice chair, the secretary (each ex officio) and two or more additional directors, as appointed by the chair and approved by the board. Resident directors may serve on the executive committee but shall not participate in the oversight over the job description or performance of the ceo. The ceo shall provide support as requested and participate in committee meetings upon invitation. When action is required to be taken prior to the next scheduled board meeting, the executive committee shall have all the authority of the board except as to the (1) filling of vacancies on the board or on any committee; (2) amendment or repeal of the bylaws or the adoption of new bylaws; (3) amendment or repeal of any resolution of the board which by its terms shall not be so amendable or repealable; (4) election or removal of officers and directors; (5) approval of a merger or plan or dissolution or major capital expenditure; (6) adoption of a resolution recommending to the members action on the sale, lease, exchange or other disposition of all or substantially all the assets of a corporation or the making of a major capital expenditure or, if there are no members entitled to vote, the authorization of such transaction; or (7) approval of amendments to the certificate of incorporation. The executive committee is responsible for human resources oversight of the ceo. If the executive committee makes any decisions that are binding on the corporation, the action shall be reported to the board at its next meeting.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by an independent accounting firm and then the director of finance and ceo undertake a detailed review of the form 990. In addition, select board members undertake a review of the organization's form 990 and then review with the ceo any commentary, observations, and recommendations, as appropriate. The full board will receive a copy of the form 990 before it will be filed.

Form 990, Part VI, Section B, Line 12C

Annual compliance questionnaires are required to be signed by all officers, directors, trustees and key employees. It is the role of the finance/audit committee of the woodland pond board to administer the woodland pond conflict of interest policy and determine based on the conflict of interest disclosures made by each director if there is a conflict of interest based on this policy. Once reviewed and addressed, all completed conflict of interest disclosures are maintained by the woodland pond corporate compliance officer.

The process for determining compensation of the organization's ceo was performed by the executive committee of the board. To complete this process, the compensation was compared against industry benchmark information, including the form 990 of other similar organizations in the state of new york. The deliberation and final decision were timely documented. This process was last completed in 2021.

Financial Statement Notes

PART II, LINE 5:

As part of the deeding of the conservation easement from woodland pond at new paltz to walkill valley land trust, the walkill valley land trust may: (1) at all reasonable times enter the property to ensure that woodland pond is compliant with all covenants and purposes of the easement; (2) enforce such terms; (3) take any and all actions to remedy or abate violations of the easement; (4) make scientific and educational observations and studies; and (5) monitor and manage the property. There also exists a right by walkill valley land trust to monitor the condition of any rare plant and animal populations, and to manage those species to ensure their continued presence and viability.

PART II, LINE 9:

Woodland pond at new paltz made a one-time payment to the walkill valley land trust, which agreed to monitor and hold the land in trust for perpetuity. The one-time payment was added to the cost of construction/development and is depreciated accordingly.

PART IV, LINE 2B:

Deposits on unoccupied units represent the liability related to refundable entrance fees received from prospective residents. These amounts are fully refundable, plus interest earned on these amounts, until such time that the resident occupies the unit.

PART X, LINE 2:

The organization is a nonprofit corporation under section 501(c)(3) of the internal revenue code (irc) and is exempt from federal income taxes pursuant to section 501(a) of the irc. The organization is also exempt from new york state income taxes. The organization follows the provisions of the income tax standard regarding the recognition and measurement of uncertain tax positions. The application of these provisions has no impact on the organization's financial statements. The organization is not aware of any activities that are subject to tax on unrelated business income or other taxes.
