Form 990, Part VI, Line 15A PROCESS USED TO ESTABLISH COMPENSATION OF TOP MANAGEMENT OFFICIAL

The organization relied on agrace hospicecare, a related tax-exempt organization, to determine the compensation of its other officers and key employees. Below is the process used by agrace hospicecare for determining compensation of theganization's top management official. Each year the organization gathers market data for determining compensation of the chief executive officer. This includes benchmarks of national, regional, and local compensation that are provided from independent compensation surveys. The vp, human resources presents this information to the executive committee of the board, along with pertinent 990 compensation reporting by similar sized non-profit hospices based on this information, the executive committee sets and approves the compensation package for the chief executive officer for the year and contemporaneously documents their approval in writing. This process occurs annually in february.

Form 990, Part VI, Line 15B PROCESS USED TO ESTABLISH COMP OF OTHER OFFICERS AND KEY EMPLOYEES

THE ORGANIZATION RELIED ON AGRACE HOSPICECARE, A RELATED TAX-EXEMPT ORGANIZATION, TO DETERMINE THE COMPENSATION OF ITS OTHER OFFICERS. BELOW IS THE PROCESS USED BY AGRACE HOSPICECARE FOR DETERMINING COMPENSATION OF THE ORGANIZATION'S OTHER OFFICERS. Every other year the organization gathers market data for compensation of the executive leadership team. This data includes benchmarks of national, regional, and local compensation that are provided from independent compensation surveys. Executive leadership pay is adjusted based on: 1) years of experience; 2) performance; and 3) market data for the 65th percentile of total compensation for the position. The VP, Human Resources presents the market data information to the executive committee of the board. Based on this information, the executive committee of the board approves the compensation package for the executive leadership team and documents their approval in writing. This process occurs biennially in February.

Agrace Health, Inc. became the sole member of Agrace Hospicecare Foundation, Inc. effective November 1, 2024. Prior to this, Agrace Hospicecare, Inc. was the sole member.

Form 990, Part VI, Line 6 Classes of members or stockholders

Agrace Health, Inc. a related 501(c)(3) organization, is the sole member of Agrace HospiceCare Foundation, Inc. and has the authority to appoint, remove, and replace any director on Foundation Board. Agrace Health, Inc. also has the sole authority to amend the Agrace HospiceCare Foundation Bylaws and Articles of Incorporation. Agrace Health, Inc. has no other responsibilities or voting rights with respect to the operations of Agrace HospiceCare Foundation.

Form 990, Part VI, Line 7A Members or stockholders electing members of governing body

Pursuant to the bylaws of the organization, Agrace Health, Inc., the sole member of the organization, has the authority to, at any time, appoint and re-appoint Directors of the Corporation, fill vacancies on the board of directors, and remove any director of the corporation, with or without cause.

The committees do not have the authority to act on behalf of the board. Committee meetings are documented contemporaneously.

Form 990, Part VI, Line 11B Review of form 990 by governing body

The Controller and CFO performed a detailed review of Form 990 and the related schedules prior to filing the return. This included verification of all amounts for accuracy and completeness. The form and schedules were also reviewed for content, presentation and reasonableness. The entire Form 990 is made available to the entire executive leadership team and an entity specific highlights summary is provided. The entire Form 990 is provided to the entire Board of Directors prior to filing and is accompanied by a 990 highlight summary. The audit committee reviewed the Form 990 and related schedules for reasonableness. Representatives from the accounting firm of Crowe prepared a detailed summary of the Form 990 that was presented to the board of directors by the Management.

Form 990, Part VI, Line 12C Conflict of interest policy

Directors, officers, community committee members, and key employees (interested persons) are required to annually review the organization's Standards of Conduct, including the conflict-of-interest policy/statement. Interested persons are required to disclose potential or actual conflicts with the organization in writing via the annual questionnaire distributed electronically to each interested person. When a disclosure arises, the person shall promptly make disclosure of the interest to the governing board or committee. After disclosure and discussion, the interested person shall leave the governing board or committee meeting while the determination of a conflict of interest is further discussed and voted upon by the remaining disinterested governing board or committee members. Once an actual conflict of interest exists with respect to a particular contract, transaction, or arrangement the disinterested members of the board exercise due diligence to determine whether said contract, transaction or arrangement is reasonable. The conflict-of-interest questionnaires are reviewed by the Controller and Governance Manager. The Controller and Governance Manager determine whether a potential conflict exists based on the completed questionnaires submitted by each interested person. The result of that determination is reviewed with the CFO and CEO and approved by the Agrace Board.

CLINICAL ADVANCEMENT OPPORTUNITIES: CNA's - OUR CERTIFIED NURSING ASSISTANTS (CNAs) SERVE AN INCREDIBLE ROLE AT AGRACE - ASSISTING PATIENTS WITH THE MOST INTIMATE OF DAILY CARES. THE RELATIONSHIPS OUR CNAs DEVELOP WITH PATIENTS AND THEIR FAMILIES ARE ONE OF THE STRONGEST. DESPITE THEIR IMPORTANCE THROUGHOUT THE HEALTHCARE INDUSTRY, CNAs ARE AMONG THE LOWEST PAID EMPLOYEES. AS SUCH, FINANCIAL BARRIERS OFTEN PREVENT THOSE IN CNA ROLES FROM PURSUING OPPORTUNITIES FOR CONTINUED EDUCATION AND TRAINING THAT IS NEEDED FOR CAREER DEVELOPMENT. Care for All Dollars Can Help More Agrace Patients and Clients: A very welcome expansion was approved for Agrace's Care for All charitable care program. In addition to assisting patients who need hospice care or supportive (palliative) care, this program can now help clients pay for the Agrace Adult Day Center and Agrace Age at Home. Care for All is a donor-supported program that helps Agrace patients and clients pay for their care if they can show financial need and have no other options.

Donations to Agrace ensure that every individual and family receives the best possible care and support available, regardless of ability to pay. AGRACE HOSPICECARE FOUNDATION IS OPERATED EXCLUSIVELY FOR THE SUPPORT AND BENEFIT OF AGRACE HEALTH, INC. AND AGRACE HOSPICECARE, INC., RELATED 501(C)(3) ORGANIZATIONS CARING FOR APPROXIMATELY 1,200 hospice PATIENTS PER DAY. In 2024, Agrace served a total of 5,567 individual patients and clients through its Hospice Care, Supportive Care, Age at Home and Adult Day Center programs. THE AGRACE HOSPICECARE FOUNDATION IS SUPPORTED BY A COMMUNITY OF DONORS WHO SHARE THE VISION OF ACCESS TO A QUALITY END-OF-LIFE JOURNEY FOR EVERYONE. THE FOUNDATION'S SUPPORT HAS HELPED AGRACE HOSPICECARE BUILD INPATIENT AND RESIDENTIAL FACILITIES, ENHANCE THE BREADTH AND QUALITY OF ITS SERVICES, AND EXPAND ITS REACH TO THOSE WHO NEED AGRACE SERVICES THROUGHOUT SOUTHERN WISCONSIN, REGARDLESS OF ABILITY TO PAY. IN ADDITION TO THE GRANT SUPPORT THAT THE FOUNDATION PROVIDES TO AGRACE HOSPICECARE, INC. Schedule D, Part X, Line 2 FIN 48 (ASC 740) footnote

The Foundation is included in the consolidated audited financial statements of Agrace Health, Inc., a related organization. Agrace Health Inc.'s Fin 48 (ASC740) Footnote for the year ended December 31, 2024 reads as follows: The Organization is exempt from income taxes on income from related activities under Section 501(c)(3) of the U.S. Internal Revenue Code and corresponding state tax law. Accordingly, no provision has been made income taxes. Additionally, the Organization has been determined not to be a private foundation under Section 509(a) of the Internal Revenue Code. U.S. GAAP requires that a tax position is recognized as a benefit only if it is "more likely than not" that the tax position would be sustained in a tax examination, with a tax examination being presumed to occur. The amount recognized is the largest amount of tax benefit that is greater than 50% likely of being realized on examination. For tax positions not meeting the "more likely than not" test, no tax benefit is recorded. The Organization's Forms 990 have not been subject to examination by the Internal Revenue Service or the state of Wisconsin for the last three years. The Organization does not expect the total amount of unrecognized tax benefits to significantly change in the next 12 months. The Organization recognizes interest and/or penalties related to income tax matters in income tax expense. The Organization did not have any amounts accrued for interest and penalties at December 31, 2024 and 2023.

These programs include Dementia Care Consultations, our "Learning to Live with Dementia" education series, and daytime care for seniors with memory loss/dementia. Community support is vital to sustain these programs and keep fees low, so more families can learn how to navigate dementia with compassion and confidence. Clinical Advancement: Agrace supports the professional growth and development of our staff through several types of advancement opportunities. These include earning credentials and certifications for their roles and completing specialized training programs that can help them provide the best possible care to our patients and clients. With the support of generous community donors, we can also offer scholarships, mentorship, and a variety of unique learning experiences that enrich our staff's professional abilities. Patient Wish and Essential Needs Fund: This fund helps Agrace bring comfort, joy, and dignity to hospice patients by fulfilling meaningful wishes. Their wish may be to achieve a lifelong dream, a final desire, or something a patient could not afford but will improve their quality of life. Since 2010, Agrace has granted more than 225 wishes for our hospice patients. The fund also supports essential needs like gas cards, groceries, and communication devices for families. Additionally, it covers the costs for the Agrace staff to prepare and deliver holiday meals for our in-home patients and their families. This gift makes celebrating easier for families facing very challenging times.

IRS990/ProgSrvcAccomActy2Grp/Desc0CARE FOR ALL (CHARITY CARE): EACH YEAR, DOZENS OF OUR NEIGHBORS WHO CANNOT AFFORD HOSPICE, PALLIATIVE CARE, Age at Home, or the Adult DAy Center RECEIVE SERVICES AT NO COST THROUGH AGRACE'S "CARE FOR ALL" PROGRAM, funded by the Care for All endowment. Through the Care for All Program, WE SERVE SOME OF OUR MOST VULNERABLE COMMUNITY MEMBERS-CHILDREN AND YOUNG ADULTS WITH NO INSURANCE, SENIORS WITHOUT CAREGIVERS, INDIVIDUALS LACKING SAFE HOUSING, AND THOSE WITH SPECIAL NEEDS. While Medicare, Medicaid, and private health insurance cover the cost of basic hospice services for most patients, an increasing number of people in southern Wisconsin do not have enough insurance coverage for hospice when they need it. Since 2015, Agrace's Care for All program has funded care for over 600 patients, 102 of them were served in 2024 alone.

IRS990/ProgSrvcAccomActy3Grp/Desc0COMMUNITY GRIEF SERVICES: EVERY YEAR, THOUSANDS OF PEOPLE, INCLUDING CHILDREN, GET SUPPORT FROM AGRACE'S SPIRITUAL & GRIEF SERVICES TO HELP THEM COPE WITH THE DEATH OF A LOVED ONE. ALTHOUGH GRIEF SUPPORT IS REQUIRED BY STATE AND FEDERAL REGULATIONS, IT IS NOT COVERED BY MEDICARE, MEDICAID, OR PRIVATE INSURANCE. COMMUNITY DONATIONS ENABLE US TO OFFER SPECIALIZED GRIEF SUPPORT THAT IS OPEN TO EVERYONE. THE FOUNDATION ALSO SUPPORTS Agrace's free-standing GRIEF SUPPORT CENTER which HAS ALLOWED US TO EXPAND OUR PROGRAM AND SERVE MANY MORE PEOPLE. In 2024, Agrace's Community Grief Program supported 170 students in 46 schools. More than 350 individuals found support through one-on-one counseling sessions, workshops, or support groups.
