Governance Explanations

Form 990, Part VI, Section A, Line 1A

An executive committee, to consist of five (5) or more directors, which shall have and may exercise all powers and authority of the board of directors in the management of the business and affairs of the foundation between meetings of the board of directors, and which shall have other powers and duties as the board may from time to time determine, except that it shall not have the power to: (i) amend the articles of organization or bylaws of the foundation; (ii) fill vacancies on the board of directors; or (iii) take any action inconsistent with the articles of organization or bylaws of the foundation. The majority of the members of the executive committee shall constitute a quorum for the transaction of the business of the executive committee. The vote of a majority of the executive committee members present and voting at any meeting of the committee at which there is a quorum shall be the action of the executive committee.

The form 990 is first reviewed by the president/executive director then sent to the finance/audit committee where it is reviewed and sent on to the executive committee. From there, a copy of the 990 is emailed to all board members for review prior to filing.

Financial Statement Notes

PART IV, LINE 2B:

The foundation holds investments for nonprofits in the local community as part of its core mission. A community foundation is a tax exempt, nonprofit, publicly supported organization that empowers donors to strengthen their community, one passion at a time. The common mission of every community foundation is to enhance the quality of life in the local area. Through fund management, the foundation helps to achieve this. Whether it is the creation of a fund for the individual looking for a tax deduction or the nonprofit agency that is building permanent endowment funds or even providing scholarships for students, the foundation supports a variety of local nonprofits through grants and special projects.

PART V, LINE 4:

In september 2019, the board of directors designated $50,000 of net assets without donor restrictions as a general endowment fund to support the mission of the foundation. The endowment fund is designated to be perpetual with principal intact and only earnings will be distributed. Use of the fund requires board approval and is designated for use by the board. At december 31, 2024 and 2023, the board designated account totaled $112,644 and $103,428 respectively.

PART X, LINE 2:

The foundation qualifies as a tax-exempt organization under section 501(c)(3) of the internal revenue code and, therefore, has made no provision for federal income taxes. In addition, the foundation qualifies for the charitable contribution deduction under section 509(a). Management of the foundation considers the likelihood of changes by taxing authorities in its filed income tax returns and recognizes a liability for or discloses potential significant changes that management believes are more likely than not to occur, including changes to the foundation's status as a not-for-profit entity. Management believes the foundation met the requirements to maintain its tax-exempt status and has not identified any uncertain tax positions subject to the unrelated business income tax that require recognition or disclosure in the accompanying financial statements. The foundation's income tax returns for the past three years are subject to examination by tax authorities, and may change upon examination.

THE COMMON MISSION OF EVERY COMMUNITY FOUNDATION IS TO ENHANCE THE QUALITY OF LIFE IN THE LOCAL AREA. THROUGH FUND MANAGEMENT, THE FOUNDATION HELPS TO ACHIEVE THIS. WHETHER IT IS THE CREATION OF A FUND FOR THE INDIVIDUAL LOOKING FOR A TAX DEDUCTION OR THE NONPROFIT AGENCY THAT IS BUILDING PERMANENT ENDOWMENT FUNDS OR EVEN PROVIDING SCHOLARSHIPS FOR STUDENTS, THE FOUNDATION SUPPORTS A VARIETY OF LOCAL NONPROFITS THROUGH GRANTS AND SPECIAL PROJECTS. SINCE THE FOUNDATION'S INCEPTION IN 2011, NONPROFITS HAVE RECEIVED GRANTS TOTALING $9.9 MILLION. AT THE END OF 2024, THE FOUNDATION WAS MANAGING 59 AGENCY FUNDS, 17 ENDOWMENT FUNDS, 42 DONOR ADVISED FUNDS, 7 CORPORATE ADVISED FUND, 3 SCHOLARSHIP FUNDS, 1 ANNUITY FUND & 7 PASS THROUGH FUND. RESULTING IN 15% INCREASE OF FUNDS UNDER MANAGEMENT FROM THE PRIOR YEAR.

IN 2016, UNDER PREVIOUS LEADERSHIP, THE COMMUNITY FOUNDATION BEGAN OVERSEEING THE COUNCIL'S OPERATIONS, AND IT HAS CONTINUED TO SIGNIFICANTLY EXPAND SINCE THAT TIME. THE NPBC PROMOTES THE ECONOMIC IMPACT OF NONPROFITS, STRENGTHENS THEIR CAPACITY IN AREAS OF LEADERSHIP FUNDRAISING, BOARD DEVELOPMENT, STAFF DEVELOPMENT AND COMPLIANCE, AND PROVIDES FOR MUCH-NEEDED COLLABORATION AND PHILANTHROPIC EDUCATION.
