Governance Explanations

Form 990, Part VI, Section A, Line 4

The organization made significant changes to its bylaws since the prior 990 was filed. Officers of the organization now include the treasurer. The treasurer shall be responsible for overseeing the maintenance of the corporate books of account and financial records of the corporation. the treasurer shall also perform such other duties as may be assigned to him/her from time to time by the board of trustees.

Form 990, Part VI, Section A, Line 7A

Under the lease agreement between npi and the metropolitan pier and exposition authority ("mpea"), the chair of the board, the secretary-treasurer, and the chief executive officer of mpea are required to be voting members of npi's board of directors.

The 990 is prepared by npi's director of accounting, in coordination with an outside cpa firm. The form 990 is reviewed by npi's president & ceo, general counsel, and finance committee prior to final approval of the board of directors prior to filing.

Npi relies upon self-reporting by board members. Ownership information is required for any lease, license, or significant vendor contract executed by npi. As such, the board members are able to monitor such items for potential conflicts.

The executive committee reviews the goals and performance of the president/ceo and senior management. The committee also retains an independent consultant who conducts an independent evaluation using compensation data of the comparable key employees at peer institutions. The executive committee reviews the information provided by the independent consultant and then sets compensation levels and goals for the president/ceo and reviews, modifies and approves recommendations from the president/ceo for compensation of key employees. The evaluations, reviews, comments and decisions are documented in the minutes of the executive committee. The ceo reviews the goals and performance of senior staff and reviews compensation data of the comparable key employees at peer institutions. The president/ceo recommends the compensation of key employees of which recommendations are reviewed, modified and approved by the executive committee.

Navy Pier is Chicagos mission-driven cultural district, designed to inspire educate and connect our guests across the city and globe. In 2016, Navy Pier welcomed an estimated 9.3 million guests (59% from Chicagoland and 41% from elsewhere), making it one of the top-attended nonprofit cultural destinations in the Midwest. Phase One of Navy Piers physical redevelopment concluded in May 2016 with award winning accolades. Navy Pier was awarded an American Society of Landscape Architects (ASLA) Award and Gold Certification under the Sustainable SITES Initiatives (SITES) rating system, the first project to earn this level of certification under SITES v2 for its environmentally mindful and sustainable design. navy pier's redevelopment was awarded the magnificent mile association's business impact of the year award. These newly designed spaces also served as the setting to Navy Piers robust line-up of 2016 programming. These projects included: -POLK BROS FOUNTAIN AND PLAZA a 13 acre green space with a 12,500 square foot interactive fountain -THE SOUTH DOCK AND WAVE WALL STAIRS complete with new tree groves and storm water management system -THE NEW FOOD EXPERIENCE offering more dining options and 26 Chicago-centric staples Phase Two renovations are currently underway and include the completion of Polk Bros Park (anticipated completion July 2017). The new Polk Bros Performance Lawns will feature two stages-the Lake Stage (an anticipated capacity of 1500) and the City Stage (an anticipated capacity of 750)- each equipped with state-of-the-art sound and lighting to support a range of creative expression in music, theater, dance, cinema, festivals, public art and more. Each area is accessible for audiences and guests with disabilities. Collectively, these physical redevelopments have had profound impact on Navy Piers programmatic efforts, making this 100 year-old landmark more modern and open with an elevated aesthetic. Navy Piers 2016 programming strongly showcased the Piers commitment to raising its profile as a nonprofit through continued focus on offering dynamic and eclectic experiences through partnerships and programs, as outlined in the organizations mission and values. Schedule D, Part X, Line 2

Npi has received a determination letter from the internal revenue service dated july 24, 2011 indicating that npi is exempt from federal income taxation under section 501(c)(3) of the internal revenue code. Npi has adopted the requirements for accounting for uncertain tax positions in accordance with accounting standards codification (asc) 740-10, income taxes - overall. Npi is subject to income taxes only on income determined to be unrelated business income. Management believes there are no material uncertain tax positions that require recognition in the accompanying financial statements. Npi has a policy to record interest and penalties (if any) related to income tax matters in income tax expense. Npi recognized no interest or penalties for the years ended december 31, 2016 and 2015. During 2015 and 2016, npi was the subject of an examination by the internal revenue service for the year ended december 31, 2013. The scope of the examination included a review to ensure all unrelated business income had been properly reported. In 2017, npi was advised by the irs that the 2013 return was accepted as filed and that npi continues to qualify for exemption from federal income tax. However, the irs review of potential unrelated business income is still in progress. Npi is no longer subject to examination by federal, state or local authorities for periods before 2013.
