Governance Explanations

Form 990, Part VI, Section A, Line 4

Significant changes to organizational documents the articles and bylaws of the organization were restated and adopted on may 7, 2018. Copies were submitted with an application to the irs requesting public charity status change from a supporting organization under 509(a)(3) type i to 509(a)(1) and 170(b)(1)(a)(vi), which was approved by the irs on october 25, 2018. The bylaws were amended to provide for directors to elect new directors, and the previous supported organization no longer has power to appoint directors, nor to remove any directors.

Review of form 990 a copy of form 990 is reviewed by the audit and finance committee, and then by the full board of directors before being filed with the irs.

Monitor of conflict of interest policy the board of directors holds two board meetings every year. On an annual basis at the first meeting every member of the board is required to complete a conflict of interest form; any conflicts, should they exist, are handled on an individual basis appropriately.

Process for determining top management official compensation dqc has an independent compensation subcommittee of the board who reviews and approves the compensation of the president, executive director and the other top management officials. An outside consulting firm provides a compensation analysis for the deliberation process; the deliberation process is documented by the subcommittee.

Audit footnote pertaining to fin 48 (asc 70) dqc evaluates uncertainty in income tax positions based on a more-likely-than-not recognition standard. If that threshold is met, the tax position is then measured at the largest amount that is greater than 50% likely of being realized upon ultimate settlement. As of june 30, 2018 and 2017, there are no accruals for uncertain tax positions. If applicable, dqc records interest and penalties as a component of income tax expense. Tax years from 2015 through the current year remain open for examination by tax authorities.
