Form 990 is prepared by an independent cpa and a draft is provided to the president, treasurer and executive director for review. Upon their approval, a copy is provided to the entire board prior to filing.

Form 990, Part VI, Section B, Line 12C

The foundation's bylaws contain a conflict of interest policy. Each director shall disclose to the board of directors any known conflicting interest such director or such director's related persons have with respect to a transaction. After making known all material facts, the director shall abstain from voting on the proposed transaction. The board of directors is required annually to read the conflict of interest policy and sign a statement confirming they understand and will abide by the policy. Directors are also given a copy to keep.
