Governance Explanations

Form 990, Part VI, Section B, Line 11B

Ideo.org's accounting firm forwarded the form 990 to the accountant. The accountant reviewed the form 990 with the executive director, who forwarded the form 990 to all board members for their review prior to filing the form 990. Board members were encouraged to review the form 990 and provide questions/comments to the executive director and accountant. Either the accountant or the accounting firm addressed the questions from the board.

Form 990, Part VI, Section B, Line 12C

Ideo.org's employees should avoid external business, financial, or employment interests that conflict with ideo.org's business interests or with the employee's ability to perform job duties. This applies to possible relationships with any other employer, consultant, contractor, customer, or supplier. In order to avoid any appearance of conflict of interest, employees are expected to abide by the code of ethical conduct. Violations of this rule may lead to disciplinary action, up to and including termination. Annually, the organization requests a conflict of interest disclosure form from each officer, director, and key employee.

Form 990, Part VI, Section B, Line 15

Compensation for officers and key employees is based on position ranges updated annually with market data and reviewed for comparability with other similar non-profit organizations.

Form 990, Part VI, Section C, Line 19

Ideo.org's financial statements, conflict of interest policy and governing documents are made available to the public upon request for the same period of time set forth in section 6104(d).
