Governance Explanations

Form 990, Part VI, Section A, Line 4

Article 2, Section 2 Regular Convention Workers United shall meet in general convention in 2013 and in every fourth year thereafter at such time and place as the GEB may determine. The GEB may determine that the Convention meets remotely. Article 2, Section 8 Notice, Nomination, Election (a) At least ninety days before a regular Convention opens, the President shall give written notice to each eligible affiliate of the number of delegates to which it is entitled, and of its opportunity to complete its delegation through a secret ballot election conducted no later than forty days before the Convention. The notice may also include the numbers of executive vice presidents and vice presidents to be elected as determined by the GEB in accordance with Article 10, Section 3(a). Article 2, Section 12 Convention Committees Prior to the opening of the Convention, the President, subject to the right of the GEB, by at least a two-thirds (2/3) vote thereof, to disapprove a committee as a whole, shall appoint all Convention committees, including a Credentials Committee, a Constitution Committee, an Appeals Committee, a Rules Committee and a Tellers Committee, and a chairperson for each from among its members, and such other committees as may be necessary for the conduct of its affairs. The President may merge committees. All members of committees shall be appointed from among the delegates. All committees shall be subject to the approval of the Convention. Each committee shall have at least seven members. A majority of the members shall constitute a quorum. In addition, the President shall may appoint Sergeants-at-Arms to assist in maintaining order in the Convention; Sergeants-at-Arms are not required to be appointed from among the delegates. Article 2, Section 14 Rules of Procedure The proceedings of the Convention shall be governed by this Constitution. The rules adopted at the preceding Convention shall be in force from the opening of a Convention until new rules are adopted by the Convention. Each Convention may adopt rules for the conduct of its business not in conflict with this Constitution, except that, in accordance with Article 10, Section 3(a), the Rules Committee may adopt rules governing nominations and election procedures for Workers United officers, subject only to GEB approval. Article 3, Section 1 Membership (a) The GEB shall consist of the President, Secretary-Treasurer, no more than three executive vice-presidents (one of whom shall be from Canada), and no more than twelve vice-presidents, who shall be elected from among the delegates to the Convention. If another union merges with Workers United, the GEB may designate additional executive vice-presidents and/or vice presidents who shall serve until the next regular or special Convention. For other good cause, the GEB may designate no more than one additional vice president, who shall serve until the next regular or special Convention. Article 3, Section 1 Membership (b) All members of the GEB elected at the Convention shall be installed as soon as practicable. at the Convention. Article 9, Section 11 Voting Methods In any election under Article 10 through Article 12, inclusive, of this Constitution, proxy, write-in, telephonic, fax, email or sticker votes shall not be permitted to be counted, except as permitted by Article 11, Section 2(a) or as permitted by rules adopted by a Convention's Rules Committee in accordance with Article 10, §3(a). Article 10, Section 3 Nomination and Election (a) Each regular Convention shall nominate and elect candidates for the offices of President, Secretary-Treasurer, no more than three executive vice presidents (one of whom shall be from Canada), and no more than twelve vice presidents. The GEB shall determine the number of executive vice presidents and vice presidents to be elected, and these numbers shall be included in the notice required by Article 2, Section 8 or in a later notice issued under rules promulgated by the Rules Committ

It is our policy to examine the LM-30 filings, which are available online, of any officer or employee. The President shall notify the Executive board of any LM-30 filings and make them available to the Executive Board upon request. The U.S. DOL requires Union officers and employees to disclose: (a) whether they or certain family members hold any interest in or receive any benefit from employers whose employees the Union represents or seeks to represent; Union affiliated trusts, vendors to the Union or major vendors to represented employers, and (b) whether they have engaged in certain other transactions. Individuals disclose these potential conflicts of interest annually by filing an LM-30 form with the DOL. The Union enforces and monitors compliance with its conflicts policy by examining the LM-30 forms and making them available to the Union's governing body. In this manner, the governing body is made aware if any officer or employee (or his/her immediate family) has an interest that may conflict with his/her responsibilities to the Union. Further, the Labor Management Reporting and Disclosure Act prohibits Union officers from "holding or acquiring any pecuniary or personal interest which conflicts with the interest of such organization". (29 U.S.C. Sec.501). Any member may sue to enforce this provision. The governing body or a member may bring internal charges against an officer or employee for violating the conflict of interest policy. All such charges are investigated by the governing body.

In setting salaries for the positions described, the decision makers use data as to comparable compensation for similarly qualified persons in functionally comparable positions at similarly situated organizations.
