“Election of Members and their rights; voting members elect the governing board as written in the Bylaws.”

“The Organization uses an accounting firm to prepare Form 990. The form is sent electronically to the Treasurer for review. It is then electronically sent to all Board members for approval. After the Board approves Form 990, the form is signed and submitted to the Internal Revenue Service.”

“Each and every director, officer key person, or member of a committee with governing board delegated powers must, on an annual basis (or at the time such person assumes such a position), review the team's conflict of interest policy and to disclose any relationships, interests, or situations involving such persons or any member of their family that might result in or appear to be an actual, apparent or potential conflict of interest wit the team. These disclosures must be promptly updated if any material changes occur. Any such person who has a conflict of interest in any transaction under consideration by the team is recused from influencing or voting upon such transaction, other than providing information at the Board's request. In any such situation, the Board (or committee, if one is appointed) shall determine whether the team can obtain with reasonable efforts a more advantageous transaction or arrangement that would not give rise to conflict of interest; if not, the Board or committee must determine whether the transaction is in the team's best interest and whether it is fair and reasonable.”
