The finance committee meets to review the form before it is filed with the irs. A complete copy of form 990, including all schedules, is provided to the entire voting board before it is e-filed with the irs.

Form 990, Part VI, Section B, Line 12C

The interested persons covered under the organization's conflict of interest policy is any person serving as an officer, employee, member of the board of directors, major donor, or anyone else who is in a position of control over bartz-altadonna community health center who has a personal interest that conflicts with the interests of bartz-altadonna community health center. Annually, each employee, officer, or board member is required to submit a conflict of interest attestation and disclosure form. Procedure. Prior to board or committee action on a contract or transaction involving a conflict of interest, a director or committee member having a conflict of interest who attends the meeting shall disclose all facts in writing material to the conflict of interest. Such procedure is reflected in the minutes of the meeting. A person who has a conflict of interest shall not participate in or be permitted to hear the board's or committee's discussion of the matter except to disclose material facts and to respond to questions. Such person shall not attempt to exert his or her personal influence with respect to the matter, either at or outside the meeting. Interested persons who are not members of the board of directors shall disclose in writing to their supervisor, or the chair, or the chair's designee, any conflict of interest that such person has with respect to a contract or transaction. Such disclosure shall be made as soon as the conflict of interest is known to the interested person. The interested person shall refrain from any action that may affect bartz-altadonna community health center's participation in such contract or transaction. In the event it is not entirely clear that a conflict of interest exists, the individual with the potential conflict shall disclose in writing the circumstances to her or her supervisor or the chair or the chair's designee, who shall determine whether full board discussion is warranted or whether there exists a conflict of interest that is subject to the policy.

The organization's board of directors has a process for reviewing and approving the compensation of the chief executive officer and other officers and key employees on a regular basis to determine it is fair and reasonable with the goal of retaining employees at compensation levels within appropriate market range. The process for determining the compensation paid to the chief executive officer and other officers and key employees includes the approval of the compensation arrangement in advance, with all persons with a conflict of interest abstaining from the deliberation and discussion of the transaction. The board of directors reviews data of comparable compensation for similarly qualified nonprofit executives at similarly situated entities. The documentation in the board minutes includes the terms of the transaction and the date of approval, the members who were present during the debate and vote on the transaction, a description of the comparable data and how it was obtained, and documentation of the basis for the determination.

PART X, LINE 2:

The organization is exempt from taxation under section 501(c)(3) of the internal revenue code and section 23701d of the california revenue and taxation code and is generally not subject to federal or state income taxes. However, the organization is subject to income taxes on any net income that is derived from a trade or business, regularly carried on, and not in furtherance of the purposes for which it was granted an exemption. No income tax provision has been recorded as the net income, if any, from any unrelated trade or business, in the opinion of management, is not material to the financial statements taken as a whole. Gaap requires that an organization recognize in the financial statements the impact of a tax position if that position will more likely than not be sustained on audit, based on the technical merits of the position. As of and for the years ended december 31, 2022 and 2021, the organization had no material unrecognized tax benefits, tax penalties or interest. As of december 31, 2022, information returns subsequent to 2018 filed by the organization are subject to examination by the taxing authorities.

BACHC'S CLINICS IN LANCASTER, PALMDALE, AND CAL-CITY AND ITS TWO MOBILE UNITS PROVIDED OUTPATIENT MEDICAL CARE; SPECIALTY CARE FOR HIV/AIDS AND HIV RELATED ILLNESS AND URGENT CARE FOR WALK-INS; REFERRALS FOR SPECIALTY CARE, MENTAL HEALTH, BEHAVIORAL, AND PSYCHIATRIC SERVICES; AND SUBSTANCE ABUSE DISORDER ASSESSMENTS AND COUNSELING SERVICES. BACHC ALSO PROVIDED LIMITED PROCEDURES FOR HEALTH CARE SUCH AS IM INJECTIONS, TB TESTS, EAR LAVAGE, EKG(S), AND HEALTH PHYSICALS. OTHER SERVICES INCLUDE FEMALE EXAMINATIONS AND CARE, LIMITED LABORATORY SERVICES AND GENERAL EXAMINATIONS THAT INCLUDE NUTRITIONAL SERVICES. BEGINNING JANUARY 2021, BACHC PROVIDED A HYBRID MODEL OF CARE TO ALL ITS PATIENTS. THIS HYBRID MODEL ALLOWED US TO DECREASE NO-SHOW RATES, INCREASE PROVIDER PRODUCTIVITY, IMPROVE PATIENT OUTCOMES, AND IMPROVE PATIENT SATISFACTION. DURING 2022, BACHC SERVICED 13,348 UNDUPLICATED PATIENTS; PROVIDING 33,965 CLINIC VISITS AND 43,482 VIRTUAL VISITS. THIS INCLUDES 1,327 MENTAL HEALTH CLINIC VISITS AND 3,314 MENTAL HEALTH VIRTUAL VISITS.
