“Asi hired an outside company, sagebrush association management, to assist with programs and administrative duties. The executive director is provided by the management company and was paid 95,500 for the services provided to the organization.”

“Membership in asi is open to all individuals and organizations engaged or actively interested in indexing or related disciplines. There are four types of members regular, organizational, retired, and honorary lifetime. Members vote on the board of directors and other significant decisions at the annual meeting.”

“In the event of vacancies in office for the secretary and treasurer, the board will elect an individual member of asi to fill the office until the next annual meeting. In the event of the presidents vacancy, the president elect steps up to this position. In the event of the president elects vacancy, the board will act as ad hoc nominating committee for the office of president elect and have a special election. If the vacancy is less than 120 days before the annual meeting, it will remain vacant until that time.”

“All membership classes vote on the board of directors at the annual meeting as well as the individual officer positions of president, vice-president, secretary, and treasurer. In addition, the members vote to approve any bylaw changes. All active members in good standing are entitled to one vote.”

“The treasurer of asi distributes a pdf copy of 990 return to all board members for a review and comment prior to being filed.”

“At each board and committee meeting, if there is a discussion of selecting or engaging a vendor or service provider, all in attendance are asked to recuse themselves from this discussion if there could be a perceived conflict. Annually, the organization reviews and discusses the conflict of interest policy and requests that each board member list and acknowledge any known conflicts.”

“The board reviews the compensation and reimbursements of expenses for all officers or outside management companies by comparing their compensation to the compensation of individuals in like positions in comparable organizations using forms 990, compensation studies, and other available data. The board then approves any changes in compensation and fees based on this information. The organization has no other paid officers or employees meeting the irs definition of a key employee.”

“Asi will provide in a timely manner, copies of all governing documents, including its conflict of interest policy, and financial statements when requested in writing or in person.”
