“Financials are reported each month to the board of directors to approve. Upon receipt of the 990 questionnaire from the cpa firm the executive director completed the information and sent it back to the cpa firm, copying a representative of the audit committee and external accounting firm. The cpa firm prpared the form 990 and presented a draft to the representative of the audit committee (lisa) to present to the board of directors.”
“Working with fenwick and west, llc, the foundation codified a conflict of interest agreement in 2012. Our first major receipt of funding occurred at the end of 2013. Each member of the board of directors since early 2013 has been required to sign the agreement. In addition, where conflict of interest may exist, such as approval of the executive director's salary in early 2014, both the executive director and his spouse left the room to allow the board to discuss the agreement and salary and left the room and abstained from voting.”
“Similar salaries for similar sized organizations were used to determine the compensation.”
“The governing documents and conflict of interest policy were filed with the irs and included in its 1023 filing in late 2012. In addition the foundation has published its bylaws on its website. Financial statements are available upon request.”
“The corporation is a nonprofit public benefit corporation and is not organized for the private gain of any person. It is organized under the nonprofit public benefit corporation law for public educational purposes. Within the context of the general purposes stated above, the corporation shall: support the preservation, restoration, and revitalization of the us naval air station sunnyvale national historic district for reuse benefiting the public good; honoring moffett field and nasa's unitary plan wind tunnel, both national historic sites. The foundation's mission is no less than to lead the transformation of a revitalized national historic site into a world-class center for learning and collaboration, while serving the charitable purpose of preserving a vital historical site. The collaboratory is inspired by a birthplace of silicon valley, the us naval air station sunnyvale national historic district and nasa ames research center. We were founded with the vision to (1) restore our past and (2) incubate a new, more vibrant future for our community, humanity and our planet. The collaboratory will be an open forum where the public, educators, and industry can gather together to (1) explore our past (2) while helping to develop solutions to the engineering grand challenges facing humanity, and thereby discover our future together. Thus, the foundation will carry out two general functions that will be in furtherance of its exempt purposes. First, the foundation will operate a museum, which will be open to the general public. In the shadow of hangar one, the origins gallery within the center will provide a narrative about a common people and place, which as a birthplace of silicon valley has given rise to lasting global change. Within the grand challenges gallery, the center will showcase potential solutions to the national academy of engineering's grand challenges, challenges that awaken all of us to the drive toward the change required for humanity, as we face a 28% global growth rate over the next 35 years-from 7 billion to 9 billion people. Nasa ames, at the epicenter of silicon valley, is at the heart of many parallel research initiatives. Evolutions will similarly, provide a venue to present grand challenge solutions. Youth, academia, government, and industry will share their ideas, inventive products, and technology breakthroughs. Second, the foundation will leverage the center's museum function to create an educational, laboratory, and conference center space that would serve as a place for active and collaborative learning by visitors, students, and participants. We shall provide a place for educators to teach and inspire students to apply ste(a)m to the greatest engineering challenges facing humanity. Laboratory, classroom, play, maker shop, and audiographics spaces will provide educators with resources for inspirational instruction. The conference center will be a collaborative, boardroom-to-town-hall telepresence meeting space. Experts will share and collaborate with each other, and spread ideas amongst the public so that they may learn. Our mission is to excite in all ages the passion for learning, discovery, creativity, and innovation. The earth, air, & space educational foundation shall advance and shape thinkers through meaningful science, technology, engineering, (arts), and mathematics hands-on learning. Simply, our mission is to advance the ability of the next generations to change the world as we did.”
