The form 990 is reviewed by the treasurer and provided to each board member.

Form 990, Part VI, Section B, Line 12C

The board reviews any potential conflicts of interest at the board meetings. This policy is intended to supplement but not replace any applicable state and federal laws governing conflict of interest applicable to nonprofit and charitable organizations. Duty to disclose: in connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. Determining whether a conflict of interest exists: after disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. Procedures for addressing the conflict of interest: a) an interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. B) the chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. C) after exercising due diligence, the governing board or committee shall determine whether the organization can obtain, with reasonable efforts, a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. D) if a more advantageous transaction or arrangement isn't reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the organization best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination, it shall make its decision as to whether to enter into the transaction or arrangement. Each director, principal officer, and member of a committee with governing board delegated powers shall annually sign a statement which affirms such person: a) has received a copy of the conflict of interest policy, b) has read and understands the policy, c) has agreed to comply with the policy, and d) understands the organization is charitable and in order to maintain its federal tax exemption it must engage primarily in activities that accomplish one or more of its tax-exempt purposes.

Financial Statement Notes

PART X, LINE 2:

The organization is organized and operated exclusively for charitable and educational purposes. Income related to these purposes is exempt from federal and state income taxes under the provisions of section 501(c)(3) of the internal revenue code. Unrelated business income would be taxable according to applicable internal revenue code sections. The organization had no unrelated business income for the year ended december 31, 2024. The organization regularly reviews and evaluates its tax positions taken in its filed returns and recognizes the benefit from a tax position only if it is more likely than not that the position would be sustained upon audit based solely on the technical merits of the tax position. The organization files federal and massachusetts tax returns. The statute of limitations for these jurisdictions is generally three years. The organization had no returns under examination for year ended december 31, 2024.

WE HAVE A PRESENCE AT COMMONWEALTH FINANCIAL NETWORK (CFN) CONFERENCES, INVITING POTENTIAL DONORS TO LEARN MORE ABOUT WHAT WE DO AS WELL AS A PUBLIC WEBSITE: WWW.COMMCARES.COM.III. PERCENTAGE OF FINANCIAL SUPPORTAS NOTED ABOVE, OUR PUBLIC SUPPORT IS 28.34%, WHICH IS GREATER THAN 10%, BUT LESS THAN 33 1/3%.IV. SOURCES OF SUPPORTTHE PUBLIC SUPPORT OUR ORGANIZATION RECEIVES IS PRIMARILY FROM CFN EMPLOYEES, ADVISORS, INDUSTRY PARTNERS AND CONFERENCE ATTENDEES. OUR ORGANIZATION HAS BEEN ACTIVELY SOLICITING DONATIONS FROM THE GENERAL PUBLIC SINCE INCEPTION WITH NEWS UPDATES, FUNDRAISERS, ANDDONATION MATCHING INITIATIVES.WE DISBURSE GRANTS TO 501(C)(3) ORGANIZATIONS BASED UPON SPECIFIC NEEDS OF THE PUBLIC. SOME OF OUR GRANTS ARE MADE TO ASSIST WITH HUNGER RELIEF, DISASTER RELIEF AND IN LINE WITH OUR ANNUAL THEME SUCH AS CHILDREN IN NEED. SOME OF OUR GRANTS ARE REQUESTED BY CFN EMPLOYEES AND ADVISORS WHO ARE LOCATED ACROSS THE UNITED STATES TO 501(C)(3) ORGANIZATIONS IN THEIR AREA.V. REPRESENTATIVE GOVERNING BODYTHE BOARD IS COMPRISED OF CFN EMPLOYEES FROM VARIOUS DEPARTMENTS AND OFFICE LOCATIONS. EACH MEMBER HAS COMPLETELY DIFFERENT INTERACTIONS WITH THE CFN EMPLOYEES, ADVISORS AND BEYOND. THE BOARD AS GROUP PARTICIPATED IN A GRANT PROVIDING UNDERPRIVILEGED COLLEGE AGED STUDENTS WITH SUPPLIES FOR THEIR DORM ROOM, A BOARD MEMBER ORGANIZES THE READ TO A CHILD PROGRAM, WHICH IS SUPPORTED BY OUR ORGANIZATION. CFN HOSTS MANY GIVING BACK/VOLUNTEER EVENTS, SOME WHICH ARE SUPPORTED BY CCF AND SOME THAT ARE NOT. THE BOARD MEMBERS PARTICIPATE IN NEARLY ALL EVENTS, REGARDLESS OFCCF'S INVOLVEMENT.VI.
