The sole member of the corporation is passavant memorial area hospital association.

The directors of jacksonville crna's, inc. Shall be members of the board of directors of the corporate member and shall be elected annually by the members.

Form 990, Part VI, Section A, Line 7B

Jacksonville crna's bylaws state the corporate member of the corporation shall be the passavant memorial area hospital association and there shall be no other members. The corporate member will have the power to remove the president with agreement with the board of directors, appoint directors of the corporation for one year terms, and remove any directors of the corporation with or without cause. Corporate member has the authority to change the bylaws, adopt capital or operating budgets, and strategic plans of the corporation. Corporate member can adopt any voluntary dissolution, merger, or consolidation of the corporation's assets. They may approve capital expenditures over $1,000,000, approve guaranty of debt over $250,000, with or without mortgage, and permit the corporation to enter into material transactions with another corporation affiliated with the corporate member. The corporate member may approve independent auditors, approve contracts providing healthcare to beneficiaries of managed care contracts, and approve applications to the il health facilities planning board. Members also approve sales/transfers of assets to non-affiliated entities, if assets are over $500,000. Corporate member approve of significant changes in the corporation's insurance and contracts involving goods/services with a value over $1,000,000 for capital or $1,500,000 in aggregate for operating and capital budgets, not previously approved. Corporate members approve of physician service contracts over $400,000, approve real estate transactions, and approve any changes to master or long-term institutional plans. Before the corporate member can approve any of the previously mentioned items, the corporate member must first receive approval from its corporate member, memorial health system.

A final draft copy of the crna form 990 and all attachments is provided to all of the passavant memorial area hospital association board of directors prior to filing. At the board meeting, a presentation is made by the cfo to the board, followed by a question and answer session. All questions and comments arising from this review are addressed prior to submission of the return to the appropriate taxing authorities.

The authoritative guidance in asc 740, income taxes, creates a single model to address uncertainty in tax positions and clarifies the accounting for income taxes by prescribing the minimum recognition threshold a tax position is required to meet before being recognized in the financial statements. Under the requirements of this guidance, tax-exempt organizations could be required to record an obligation as the result of a tax position they have historically taken on various tax exposure items. Each of mhs's subsidiaries, excluding those described in the following paragraph, is a separately incorporated not-for-profit corporation as described under section 501(c)(3) of the code and is tax-exempt from federal income taxes on related income pursuant to section 501(a) of the code. They do, however, operate certain programs that may result in unrelated business income. Upon review as required by asc 740, income tax no tax provision was recorded for the years ended september 30, 2015 or 2014. Mp and mhp are considered disregarded entities for tax purposes and are exempt from income tax. Mhsci is a taxable for-profit corporation and ppa is a taxable not-for-profit corporation. Both are subject to federal and state income taxes.
