(section 9.2) 6) shift to a structure that includes an executive director with immediate and overall supervision of the operations of the corporation, and direct the day-to-day business of the corporation. When compensation is awarded to employees/independent contractors who also hold officer/director roles, their compensation is vetted through a process that includes inward bound's board's review and approval by independent persons, comparability data, and contemporaneous substantiation of the deliberation and decision.”
