“The amended articles of incorporation remove the requirement that member universities have a campus in massachusetts and instead refers generally to universities described in sections 501(c)(3) and 509(a)(1) or 170(b)(1)(a)(ii) of the internal revenue code. It also expands the description of the corporation's activities to include constructing, managing, operating, maintaining, and improving the facility.”

“The corporation shall have six members: massachusetts institute of technology; northeastern university; trustees of boston university; president and fellows of harvard college; the university of massachusetts, and yale university (together, the "principal members and each a "principal member").”

“All powers of the corporation shall be held by the board of directors. Any action or vote required or permitted by any law, rule, or regulation to be taken by members shall be taken by unanimous vote. Each member shall be a university with a campus in the commonwealth of massachusetts and be described in either sections 501(c)(3) and 509(a)(1) or section 170(c)(1) of the internal revenue code of 1986, as the same may be amended from time to time. The board shall be comprised of two (2) representatives from each of the members.”

“The draft form 990 is circulated to the audit committee prior to filing for review and comment. The audit committee is comprised of one employee from each member institution, appointed by the executive committee of the corporation. The complete form 990 is then provided to the full board of directors prior to filing.”

“The clerk of the corporation or the executive director circulates the full policy to officers, directors and key employees annually. The policy requires that each such officer, director or key employee acknowledge receipt. The clerk monitors the return of the required forms.”

“The organization received proposals from three different search firms and after careful review engaged korn ferry international of boston to conduct a national search for this position. Included in their services was a salary review and recommendation for this position. A team including representation from mit, harvard, bu, umass and northeastern was asked by the advisory board members to be part of the search committee. The search team included cio's from each of the universities.”

“The organization will make its governing documents, conflict of interest policy, and financial statements available to the public upon request to the clerk of the corporation.”
