Prior to filing of the return, the 990 is distributed to the audit committee for their approval. The 990 is then forwarded to the full board for their review.

The conflict of interest policy is presented for signature to board members annualy. Each board member signs an annual declaration stating that they had no conflicts or identifying the nature of their conflicted transactions. Should there be any need to review potential conflicts, the board president will determine how to address and take appropriate action.

The compensation committee, comprised of three board members, reviews and creates recommendations on executive compensation based on comparable studies of recognized industry compensation surveys. Minutes of the committee reflect the nature of this process. The compensation committee recommendations are presented to the full board for review and approval. The board approves the annual organizational budget which includes compensation detail of all other officers and employees.

The w-2's for employees of venture for america, inc (vfa) are issued by a professional employer organization (peo). In 2023, vfa used trinet as peo. A professional employer organization (peo) provides outsourcing of payroll, worker's compensation, human resources and employee benefits administration. It does this by hiring a client company's employees, thus becoming their employer of record. It then leases them back under contract to the original employer. This practice is known as co-employment, employee leasing, or staff leasing. The employees of vfa are reported as employees of trinet on the official payroll tax returns. Vfa has reported the number of our employees who are paid through the peo in part v, line 2a.
