“Our latest bylaws follow: BYLAWS of RuckusRoots Nonprofit ARTICLE I- NAME AND PURPOSE Section 1 - Name: The name of the organization shall be RuckusRoots. It shall be a nonprofit organization incorporated under the laws of the State of California. Section 2 - Purpose: RuckusRoots is organized exclusively for advocacy purposes in the name of the arts the environment and social justice. The purpose of this corporation is: 1. Co-create arts programming in communities where it is needed and wanted. 2. Offer programming that inspires a shift in knowledge values and or behavior with regards to environmental challenges like climate change utilizing the arts as a tool for engagement. 3. Amplify the artistic voices of marginalized groups. 4. Share resources with local artists and activists from the communities where we work. 5. Utilize found recycled or natural materials in artworks whenever possible expanding the notion of what can become art and encouraging art as a sustainable lifestyle practice. ARTICLE II - MEMBERSHIP Section 1 - Membership: Membership shall consist of the board of directors. ARTICLE III - BOARD OF DIRECTORS Section 1 - Board role size and compensation: The board is responsible for overall policy and direction of the organization advising key staff. The board shall have up to 10 but not fewer than 3 members. The board receives no compensation other than reasonable expenses or fair compensation if leading a program. Section 2 - Terms: All board members shall serve one-year terms but are eligible to serve ongoing appointments as described below. Section 3 - Meetings and notice: Board meetings occur quarterly. A request for availability is to be sent to all board members via email within two weeks after the commencement of the quarter. Based on responses to this request a time and place will be determined for that quarters meeting. Members will submit items for an upcoming meetings agenda two weeks in advance of the meeting date. Finalized agendas and addenda will be distributed to members one week before the meeting. Section 4 - Board Appointments: At the final quarterly meeting of the year all board members have the option of reviewing their status and determining their interest in continuing their participation. Section 5 - Appointment procedures: New members of the board may be presented at any quarterly meeting after following the process detailed in Section 3. The process of appointing a board member consists of someone being nominated by an existing board member then the nominee has two minutes to present themselves as a candidate. The attending board members then vote and the nomination is confirmed based on a two-thirds "yea" vote. Members can begin serving immediately. Section 6 - Voting: Voting occurs on financial decisions and allocations of funds including funding reports annual budget recaps at the beginning and end of the year. Anyone who gains financially from a vote must recuse themselves from that vote. Family members of someone who gains financially from a vote also recuse themselves. Section 7 - Quorum: A quorum must be attended by at least fifty percent plus one of board members for business transactions to take place and motions to pass. Motions pass based on a two-thirds yea vote. Section 8 - Officers and Duties: There shall be three officers of the board consisting of a president secretary and treasurer. Their duties are as follows: President - Reviews statements and policies pertaining to broad external strategic organizational goals and or changes DEI Mission etc. Identifies board meeting facilitator schedules meetings nominates team members to share about agenda items. Secretary - Communicates externally as the voice of the board in letters and emails. Signs documents when Board member signature is needed. Reviews contracts before signing. Reviews documents pertaining to internal policy and management Bylaws conflict of interest etc and periodically confirms these documents are up to date.”
