Mission

The mission of the college diabetes network (cdn) is to provide innovative peer based programs which connect and empower students and young professionals to thrive with diabetes.

We envision a future where young adults with diabetes are equipped and inspired to thrive. The diabetes link is the only national organization exclusively focused on the needs of 770k+ young adults with diabetes, providing peer support, connections, and resources so they don't have to navigate this stage alone.

Governance Explanations

The organization has an audit and nominating committee, however, the board of directors does not authorize these committees to act on its behalf.

Form 990, Part VI, Section B, Line 11B

The organization's outsourced accountant/cfo conduct a detailed review of the draft form 990. An updated copy is then provided to the organization's ceo and audit committee for review and approval. Upon their approval, a copy of the final form 990 is provided to the entire board of directors before it is filed with the irs.

Form 990, Part VI, Section B, Line 12C

The organization has adopted a conflict of interest policy that is applicable to all officers, directors, and members of a committee with powers delegated to it by the board (collectively, "interested person"). In accordance with the policy, annually, each interested person must provide a signed attestation regarding the conflict of interest policy. Upon disclosing a financial interest to the board or committee by an interested person, and after any necessary discussion, the interested person will leave the meeting and the remaining members of the board or committee will determine if a conflict actually exists. If a conflict is deemed to exist, the disinterested directors or committee members will review and vote upon whether the transaction is in the best interests of the organization and whether it is fair or reasonable. The interested person may make a presentation to the board or committee, but must leave the meeting prior to any discussion/vote on the transaction.

In 2024, the organization engaged in ceo compensation research, benchmarking against similarly sized organizations with comparable revenue levels, and also reviewed compensation of senior staff at these organizations. The findings were presented to the executive committee of the board of directors (which serves as the compensation committee, and approves the ceo's compensation), and used to determine the compensation for the new ceo. All decisions regarding compensation are documented in writing.

The organization is a nonprofit organization as described in section 501(c)(3) of the internal revenue code and is exempt from federal and state income taxes on trade or business profits generated by activities related to the organization's exempt function. The organization may be subject to federal and state income taxes for profits generated from trade or business activities unrelated to the organization's exempt function. As of december 31, 2024, management believes that the organization has not generated any unrelated business taxable income. The organization assesses the recording of uncertain tax positions by evaluating the minimum recognition threshold and measurement requirements a tax position must meet before being recognized as a benefit in the financial statements. The organization's policy is to recognize interest and penalties accrued on any uncertain tax positions as a component of income tax expense, if any, in its statements of activities. The organization has not recognized any liabilities for uncertain tax positions or unrecognized benefits as of december 31, 2024. The organization does not expect any material change in uncertain tax benefits within the next 12 months.
