“It is the responsibility of each board member or trustee to disclose on a timely basis any matters which may give rise to a conflict of interest, or that which may othewise prevent the board member or trustee from performing their duties in accordance with this policy. In said case, the board member must make full disclosure of such interest before any discussion of the proposed transaction and recuse themself from the discussion and the vote on the matter. The matter shall be referred to the Governance Committee to determine if a conflict of interest exists. Annually, board members and trustees will review the Conflict of Interest Policy and sign a Conflict of Interest Disclosure form.”

“The Executive Director compensation was paid by a common paymaster, a related organization: Maine Citizens for Clean Elections. In this fiscal year, the ED worked 56.5% for the League Ed Fund, 41.5% for Maine Citizens for Clean Elections (MCCE, a C3), and approximately 1% each for two 510c4s: MCCE Action and League of Women Voters Maine. The League of Women Voters of Maine Education Fund reimburses 100% of its portion of salaries, taxes, and fringe benefits to MCCE, unless a portion of payroll expense are forgiven (i.e., unless funding to cover the expense is granted to the Ed Fund), as a portion of salaries and payroll tax billings was covered this year. The combined ED compensation total as on the MCCE W2 is reported on the MCCE Form 990. The current fiscal year portion of Executive Director salary plus benefits attributed to the League this year is noted on the Statement of Functional Expenses (Page 10, Line 5) of this Form 990.”
