“Section a, line 3: some of the management functions were delegated to the executive director who is not an employee. Section a, line 6: the organization is an affiliation of law firms. It is not a partnership and shall not be held out in writing or orally as a partnership, joint venture or master partnership for the joint practice of law. Section a, line 7a: directors shall be elected by the members at the annual meeting of members. At each annual meeting of members, the successors to the class of directors whose term expires at that meeting shall be elected to hold office for a term of two (2) years. Section a, line 7b: notwithstanding any provision contained in these bylaws, neither the board of directors nor any officer, without the affirmative vote of a majority of members present in person or by proxy at any regular or special meeting of members duly called, shall have authority to borrow funds in order to pay for any required expenditure or outlay or to pledge or hypothecate any or all of the assets or property of the assication as security for money borrowed or debts incurred in connection with the affairs of the association. Section b, line 11b: the president of the organization reviews the 990 on behalf of the board. “The members of the alliance will share information regarding (1) providing better services; (2) firm governance (including ideas on partner compensation formulas, salary ranges, associate advancement, etc.); and (3) marketing strategies.”

“Providing member firms with competent resources for legal knowledge outside of their geographic areas of practice through 1) simple referral to another member firm, 2) informal consultation with a lawyer in another member firm, or 3) the association by the client of a member firm as supplemental or local counsel. The alliance promotes and facilitates the flow of educational information between member-firms. For example, meetings of members are governed by specific agendas that include outside speakers, interactive discussions regarding firm management and structural issues, and an alliance sponsored email/listserv that promotes ongoing dialogue between members on business conditions facing mid-size firms and methods of improving those conditions. General membership meetings occur twice each year.”
