Governance Explanations

The Coalition amended its bylaws in 2019. A two-thirds majority of members of the board of directors is now required to take certain actions, e.g. termination of the Executive Director and dismissal of a member of the board of directors.

Form 990, Part VI, Section B, Line 11B

The Coalition's Form 990 is reviewed by the Finance Committee and is made available electronically to all members of the board of directors for review prior to filing.

Form 990, Part VI, Section B, Line 12C

The Executive Director collects and reviews conflict of interest statements completed by each board member annually and communicates any potential conflicts of interest to the individuals involved. Board members who have a conflict of interest are expected to excuse themselves from deliberation and decision making about matters involving the conflict.

The board of directors authorizes the Executive Director's compensation annually, based partly on information obtained from informally surveying compensation paid by comparable organizations, most recently in 2018.
