The members of the corporation shall be composed of Maxim Healthcare Services, Inc., a Maryland corporation, and any other person, firm or corporation as may be elected a member from time to time by the board of directors. Members shall satisfy those qualifications for membership and shall have those rights and privileges which are established from time to time by the board of directors. Membership in the corporation is personal and is not transferable. No member shall receive any compensation for serving as a member

Form 990, Part VI, Section A, Line 7A

The members of the corporation shall be composed of Maxim Healthcare Services, Inc., a Maryland corporation, and any other person, firm or corporation as may be elected a member from time to time by the board of directors. Members shall satisfy those qualifications for membership and shall have those rights and privileges which are established from time to time by the board of directors. Membership in the corporation is personal and is not transferable. No member shall receive any compensation for serving as a member. An annual meeting of the members for the election of directors and the transaction of any business within the powers of the corporation shall be held on a date at the time set by the board of directors.

Form 990, Part VI, Section B, Line 11B

The organization provides a complete copy of this Form 990 to all members of its governing body before filing the return. The financial statements leveraged to complete the Form 990 are prepared by an independent accountant and the Form 990 and accompanying statements are prepared by an independent tax professional. The president of the organization is responsible for examining the return, including accompanying schedules and statements, and to the best of his or her knowledge and belief, must ensure it is true, correct, and complete.

Form 990, Part VI, Section B, Line 12C

Each director, officer, and member of a committee with delegated powers shall annually sign a statement which affirms such person: a. Has received a copy of the conflict-of-interest policy; b. Has read and understands the policy; c. Has agreed to comply with the policy; and d. Understands the Corporation is charitable, and in order to maintain its federal tax exemption must engage in activities which accomplish one or more of its tax-exempt purposes. To ensure the Corporation operates in a manner consistent with charitable purposes and does not engage in activities that would jeopardize its tax-exempt status, periodic reviews shall be conducted. The periodic reviews shall, at a minimum, include the following subjects: a. Whether compensation arrangements, and benefits are reasonable, based on competent survey information, and the result of arm's length bargaining; b. Whether partnerships, joint ventures, and arrangements with management organizations conform to the Corporation's written policies, are properly recorded, reflect reasonable investment or payment for goods and services, further charitable purposes and do not result in inurement, impermissible private benefit or in an excess of benefit transaction. When conducting the periodic reviews as provided for in Article VII, the Corporation may, but need not, use outside advisors. If outside experts are used, their use shall not relive the board of its responsibility for ensuring that periodic reviews are conducted.
