Governance Explanations

Form 990, Part VI, Section B, Line 11B

The tax return is reviewed by the executive director and financial director prior to the filing of the return. The tax return is available for review upon request by any member of the board of directors.

Form 990, Part VI, Section B, Line 12C

Conflicts of interest must be disclosed in writing when known in advance or announced to the board, and the party must excuse themselves from any further discussion and/or vote on the matter in question. Violations of such standards are subject to disciplinary actions provided in the ethical business conduct and conflict of interest policy.

Form 990, Part VI, Section B, Line 15

The executive director's compensation is determined by comparing it to executive pay limits set by the federal agencies that provide our funding. The financial director conducts thorough research on executive-level pay through various means and presents their findings, along with a suggested compensation, to the board. The board then votes on the final compensation. This process was last completed in 2024.

Form 990, Part VI, Section C, Line 19

The governing documents, conflicts of interest policy, and financial statements are made available to the public upon request.

Financial Statement Notes

PART X, LINE 2:

The organization is exempt from federal income tax under section 501(c)(3) of the internal revenue code. Accordingly, no provision for income taxes has been reflected in the organization's financial statements. The organization follows the income tax standard regarding the recognition and measurement of uncertain tax positions. This guidance clarifies the accounting for uncertainty in income taxes recognized in an organization's financial statements. The implementation of this standard had no impact on the organization's financial statements.
