Governance Explanations

The foundation is managed by employees of the auto club group (acg) and its accounting and financial reporting is done by acg accounting staff. In addition, the foundation's exempt operations are conducted by employees of acg. All services are provided on an in-kind basis.

Form 990, Part VI, Section A, Line 6

The sole member of the foundation is the auto club group, or its successor in interest. Membership is non-transferrable and non-assignable. There is no limit on the term of the membership. The member has the following limited rights, powers, and privileges: a. To approve or reject any amendment, alteration, repeal, restatement, or new provision to the articles of incorporation that will affect in any way the membership of the member or any then-existing right, power, or privilege of the member; b. To approve or reject any amendment, alteration, repeal, restatement, or new provision to the bylaws that will affect in any way the membership of the member or any then-existing right, power, or privilege of the member; c. To approve or reject the adoption or revocation of a plan of merger, consolidation, voluntarily dissolution, or bankruptcy or reorganization of the corporation; and d. To approve or reject the adoption or revocation of a plan or agreement for the sale, lease, encumbrance, or exchange of (i) any real property of the corporation or (ii) all or substantially all of the property and assets of the corporation. Other than the above-enumerated powers, the member, in its capacity as such, shall have no voting rights with respect to the corporation.

The 990 is reviewed by acg's financial reporting department and linda rettig, tax director, acg. In years prior to dissolution, the 990 was reviewed by board members and the executive director.

The foundation's conflict of interest policy requires that each director, principal officer and member of a committee with governing board delegated powers to disclose any actual or possible conflict of interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the prosposed transaction or arrangement. Each director, principal officer and member of a committee with governing board delegated powers shall annually sign a statement which affirms such person has received a copy of the conflict of interest policy, has read and understands the policy, has agreed to comply with the policy, and understands the foundation is charitable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes.

The foundation was dissolved on november 7, 2019. The school safety patrol and driver improvement programs returned to the auto club group, the foundation's sole member. These programs were run by the auto club group prior to incorporation into the foundation's operations upon formation in 2010. The remaining assets were distributed to aaa foundation for traffic safety in accordance with the foundation's bylaws. See schedule n.

AAA AUTO CLUB SOUTH, INC. WAS MERGED INTO THE AUTO CLUB GROUP EFFECTIVE NOVEMBER 30, 2014, AT WHICH TIME THE AUTO CLUB GROUP BECAME THE FOUNDATION'S SOLE MEMBER. THE FOUNDATION ACHIEVES ITS OBJECTIVES THROUGH THE DEVELOPMENT AND COORDINATION OF EDUCATIONAL PROGRAMS AIMED AT INCREASING PUBLIC AWARENESS OF TRAFFIC SAFETY PRINCIPLES AND IMPROVEMENT OF DRIVING SKILLS. PARTICULAR EMPHASIS IS PLACED ON PROGRAMS AND SAFETY ACTIVITIES WITH SCHOOLS, POLICE DEPARTMENTS AND OTHER GROUPS AND SERVING AS A RESOURCE TO THE MEDIA AND COMMUNITIES OF THE DISSEMINATION OF SAFETY INFORMATION.
