Governance Explanations

Form 990, Part VI, Section B, line 11B

Woodard & Curran Foundation's Form 990 is prepared with the assistance of an independent public accounting firm and thoroughly reviewed by the Foundation's Board Treasurer before it is filed. A copy of the 990 is distributed to the Board of Trustees for their review and comment prior to filing.

Form 990, Part VI, Section B, line 12C

The Foundation requires all Board Members to abide by its Conflict of Interest Policy, and annually requires Board Members to review the Policy and disclose any conflicts of interest, including any relationships, positions, or circumstances that could contribute to a conflict of interest. The Board reguarly engages (action by vote) in Foundation decisions that have financial consequences to the Foundation. In this decision-making process, the Board vets for the potential that there may be Board Members who have conflicting financial and/or personal interests with these Board decisions. To the extent that any conflicts or the appearance of a conflict exists, Board Members are expected to voluntarily, or by request, recuse themselves from Board action. The Conflict of Interest Policy applies to and covers all Board Members.

The Foundation's governing documents, conflict of interest policy, and financial statements are available upon request and on the Foundation's internal network (sharepoint).

Form 990, Page 7, Part VII:

All fifteen of the voting board members who still served on the governing body at the end of the tax year, as listed in Part VII of the Form 990, are employees of Woodard & Curran, Inc., an organization taxed as a corporate entity. The governing body of Woodard & Curran Foundation contends that there is no parent/subsidiary relationship or control between the Foundation and Woodard & Curran, Inc. Woodard & Curran, Inc. does not have the power to remove and/or replace (or to appoint, elect, approve or veto any appointment or election, either periodically or in the event of vacancies) a majority (or any) of the Foundation's directors or trustees. Only the Woodard & Curran Foundation Board has this control, and that control is established in the Woodard & Curran Foundation Bylaws. Woodard & Curran, Inc. and Woodard & Curran Foundation are not considered to be related entities.

The Board reguarly engages (action by vote) in Foundation decisions that have financial consequences to the Foundation. In this decision-making process, the Board vets for the potential that there may be Board Members who have conflicting financial and/or personal interests with these Board decisions. To the extent that any conflicts or the appearance of a conflict exists, Board Members are expected to voluntarily, or by request, recuse themselves from Board action. The Conflict of Interest Policy applies to and covers all Board Members.

The governing body of Woodard & Curran Foundation contends that there is no parent/subsidiary relationship or control between the Foundation and Woodard & Curran, Inc. Woodard & Curran, Inc. does not have the power to remove and/or replace (or to appoint, elect, approve or veto any appointment or election, either periodically or in the event of vacancies) a majority (or any) of the Foundation's directors or trustees. Only the Woodard & Curran Foundation Board has this control, and that control is established in the Woodard & Curran Foundation Bylaws. Woodard & Curran, Inc. and Woodard & Curran Foundation are not considered to be related entities.
