The board members and officers of the corporation owe a fiduciary duty to the corporation to act in good faith and in a manner that they reasonably believe to be in the corporation's best interests. This duty of loyalty requires the corporation's board members and officers to exercise independent judgment on behalf of the corporation, placing the corporation's best interests ahead of personal interests.
