Governance Explanations

Form 990, Part VI, Section A, Line 1A

The corporation shall at all times have an executive committee of at least three (3) trustees, the exact number to be as from time to time established by majority vote of the board. The executive committee members shall be appointed by the board, to have and exercise, when the board is not in session and prudent management requires prompt action, all of the authority of the board in the governance of the corporation, except as such authority is limited by resolution of the board. Any such action of the executive committee will be reported at the next meeting of the board for action in accordance with the board's direction. The executive committee must have at least one other officer of the corporation among its members. Members of the executive committee will be appointed at the discretion of the chairman, but must be approved by a majority of the voting trustees in office; provided, that the executive committee shall include the president/chief executive officer of each of the corporation and the national football foundation and college hall of fame, inc. (nff) as voting ex-officio members. Upon written request of the president/chief executive officer of nff, the board shall appoint the recommended nff-appointed trustees to the executive committee; provided such that at all times the maximum number of nff-appointed trustees serving on the executive committee shall constitute one fewer than a majority.

The national football foundation and college hall of fame, inc. (nff) has the right to appoint a number of trustees equal to one fewer than which constitutes a majority of the board of trustees.

Pursuant to a licensing agreement with the national football foundation and college hall of fame, inc. (nff), the corporation has been established to operate a facility that will house the chick-fil-a college football hall of fame (the "hall") and to serve as a steward and operational base for the hall as it exists in atlanta, georgia. Accordingly: -nff has the power to remove trustees it appointed. -the president/ceo of nff shall appoint the recommended nff-appointed trustees to the executive committee, not to constitute one fewer than a majority of the executive committee. -nff has the sole authority in the selection of inductees to the college football hall of fame. Ahm shall not grant any award or recognition for accomplishment or contributions without nff's prior written consent.

Form 990 is prepared by an independent tax preparer and reviewed in detail by the president & ceo of the organization, the vice president of finance & admin, and the executive committee of the board of trustees.

The executive committee and management monitor third parties with whom the organization conducts business to ensure that persons who may have a conflict of interest do not have undue influence over the organization's business dealings with such parties or their affiliates. For any perceived conflict of interest, the board member is recused from voting on a particular initiative involving that conflict.

Question 15a & 15b: the organization's compensation committee is charged with establishing, reviewing, and evaluating the compensation of the organization's president & ceo, and other executive officers, as well as the performance goals and other criteria related thereto. The committee reviews similar roles at other non-profit entities and attractions within and outside of the atlanta area and discusses the appropraite compensation for employees. A recommendation is then made to the board for acceptance. The compensation committee may engage outside professional counsel with respect thereto. The determination and approval process is documented in the board minutes.
