“The Governing Board is responsible to set strategic direction, ethical standards, values, finances, build relations, and compliance. All the Corporation's affairs and activities shall be managed, and all corporate powers shall be exercised, by or under the direction of a Governing Board. The Governing Board shall be charged with the control and management of the affairs, business and properties of the Corporation. The Governing Board shall delegate the management of the activities of the Corporation to Executive Board, however composed, provided that the activities and affairs of the Corporation shall be managed and all corporate powers shall be exercised under the ultimate direction and authority of the Governing Board. Governing Board appoints President and approves all Executive Board recommended by President. The Executive Board consists of Executive Officers, Directors, Committee Chairs, Chapter Presidents, and Advisory Directors. Executive Board operates under the bylaws and ITServe operational guidelines. Any contracts that create 5,000 or more in debt shall be approved by Executive Board.”
