Form 990, Part VI, Section A, Line 7A

Affordable housing network, inc., the sole member and supported organization, is entitled to appoint up to three (3) members of the board of directors. The remaining members of the board of directors are elected by the board of directors and are subject to approval of the sole member. As of the tax year ended june 30, 2015, an interim board consisting of the president of ahni and the top financial official of ahni was in place.

Certain board actions described in the bylaws may be taken only with the prior consent of affordable housing network, inc., the sole member of the filing organization.

The outside tax preparer reviews the form 990 in draft form with the secretary/treasurer. The president and secretary/treasurer conduct an additional internal review of the form 990. All questions and concerns are addressed to full satisfaction before becoming final. The final form 990 is provided to the full board prior to filing with the irs.

Form 990, Part VI, Section B, Line 12C

The organization requires all officers and directors to sign a conflict of interest statement annually as well as report any duality of interest as soon as the interest occurs. When hiring independent contractors for major projects, the organization sends requests for proposal ("rfps.") for major recurring service contracts, rfps are done every 3-5 years or market rates are reviewed by management to ensure that the terms for renewing the contract are still at competitive market rates. Throughout the process, any interested board members and/or committee members must abstain from the discussion and the selection of a contractor. Where major conflicts exists, the board member will either resign as a board member or withdraw his/her firm from consideration for the contract. As an additional safeguard, management reviews vendor lists and board member lists annually.

James a. Ernst, former four oaks president/ceo, anne gruenewald, president, and tami gillmore, secretary/treasurer are compensated by four oaks family & children's services, a related tax-exempt entity that is the sole member of affordable housing network, inc., the sole member and supported organization of the filing organization. In setting executive compensation, four oaks utilizes a compensation setting committee, an industry salary survey, and a market review and compensation comparison obtained every three years from an independent accounting firm. Four oaks retains documentation with regard to criteria used to arrive at compensation for officers. Mr. Ernst. Ms. Gruenewald, and ms. Gillmore do not receive additional compensation for the services they provide to ahni or ahni holdings.

FROM 990, PART VII, SECTION A, LINE 15:

James a. Ernst is a former officer of ahni holdings by virtue of his former position as the president/ceo of four oaks family & children's services ("four oaks"), a related tax-exempt entity that is the sole member of affordable housing network, inc., the sole member and supported organization of the filing organization. In may of 2014, anne gruenewald became four oaks' new president/ceo and mr. Ernst, the founding president/ceo moved into a transitional role managing special projects for and as an employee of four oaks through june 30, 2015. For the entire fiscal year ended june 30, 2015 ms. Gruenewald served as president/ceo of four oaks and mr. Ernst served in this transitional role. However, note that mr. Ernst's calendar year 2014 compensation reported in form 990, part vii and sch j includes a five month period during which he served and was compensated as president/ceo of four oaks at 50 hours per week. Mr. Ernst had no roles or responsibilities with regard to ahni holdings during the fiscal year ended june 30, 2015. He is being listed as a "former" officer on ahni holding's form 990 solely for the purpose of compliance with the form 990 instructions.

PART X, LINE 2:

Ahni, ahni holdings and geneva corporation are recognized as exempt from federal income taxes under section 501(c)(3) of the internal revenue code. These agencies may be subject to federal and state income taxes on any net income from unrelated business activities. These agencies file forms 990 (return of organization exempt from income tax) annually and unrelated business income (ubi) is reported on form 990-t, as appropriate. Ahni properties, inc. Is a taxable corporation under the internal revenue code regulations. Management has evaluated their material tax positions, which include such matters as the tax exempt status and various positions relative to potential sources of ubi. As of june 30, 2015 and 2014, there were no uncertain tax benefits identified and recorded as a liability. Forms 990 filed by ahni are no longer subject to examination by the internal revenue service for the fiscal years ended june 30, 2011 and prior.
