A draft copy of the Form 990 was provided to be board of directors after management approved the document. All questions by the board were resolved before the form was filed.

Conflict of interest policy compliance Part VI line 12C

The Board of Directors reviews all transactions and agreements, and any agreement which may involve a potential conflict of interest. The Board shall ensure that the Corporation does not enter into any related party transaction unless it is determined to be fair, reasonable and in the best interest of the Corporation at the time of the determination. The Board shall, after considering the transaction, determine in good faith by vote of the Board of independent directors whether the transaction or arrangement is fair, reasonable and in the best interests of the Corporation. The transaction will be approved by not less than a majority vote of the Board present at the meeting. All related parties with a financial interest must not be present in deliberations and voting.
