Governance Explanations

Form 990, Part VI, Section B, Line 11B

A copy of the draft federal form 990 is provided by e-mail to the managing director who then forwards copies to all board members prior to filing with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

The policy is brought up at an annual meeting and anyone with a potential conflict must speak with the board chair at that time. In addition, board members and any staff member with significant decision-making authority are required to disclose any conflict of interest annually.

Form 990, Part VI, Section B, Line 15A

Compensation has been determined by evaluating expertise and reflection on performance of the managing director, who is the only employee that serves as an officer, and considering fair market for the role title and taking into consideration cost of living expenses in the city the director lives. The board of directors has reviewed similar-sized organizations and compared data points in relation to budget and staff size to reach the decision. The final decision is presented by the board chair(s) and approved by the board of directors. The process was last performed in july 2024.

Form 990, Part VI, Section C, Line 19

Komera makes its governing documents and financial statements available to the public, upon request, and the form 990 is available on its website komera.org and on the website guidestar.org.

Additional Explanations

FORM 990, PART XII, LINE 2C:

The process has not changed from the prior year.

Financial Statement Notes

PART X, LINE 2:

The organization follows the authoritative guidance relating to accounting for uncertainty in income taxes included in accounting standards codification topic 740-10, income taxes. These provisions provide consistent guidance for the accounting for uncertainty in income taxes recognized in an entity's financial statements and prescribe a threshold of "more likely than not" for recognition and derecognition of tax positions taken or expected to be taken in a tax return. It is the council's policy to recognize interest and/or penalties related to uncertain tax positions, if any, in income tax expenses. The organization performed an evaluation of uncertain tax positions for the year ended june 30, 2024 and determined that there were no matters that would require recognition on the financial statements or that may have any effect on its tax-exempt status. The statute of limitations generally remains open for three tax years with the u.s. Federal jurisdiction or the various states and local jurisdictions in which the council files tax returns.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0THE ORGANIZATION FOLLOWS THE AUTHORITATIVE GUIDANCE RELATING TO ACCOUNTING FOR UNCERTAINTY IN INCOME TAXES INCLUDED IN ACCOUNTING STANDARDS CODIFICATION TOPIC 740-10, INCOME TAXES.
