Governance Explanations

Form 990, Part VI, Line 8A Documentation of meetings held by governing body

The annual meeting of the Member shall take place on the 3rd Thursday in the month of November or at other times as determined by the Member. Any action required or permitted to be taken by the Member or that requires the approval or consent of the Member may be taken without a meeting if consent in writing setting forth the action so taken shall be signed by the Member. The order of business at the annual meeting of the Member shall be determined by the Member. It was determined that a meeting was not necessary in the current year, as the charter schools had ceased operations.

The Controller prepares the 990 and the Director of Finance and CFO review the 990 prior to filing. The final 990 is distributed to the Board of Directors after it has been filed.

Annually the officers and directors of the organization are provided the conflict of interest disclosure policy and required to complete a survey confirming they have received a copy of the policy and also disclose any known actual or possible conflict. Any identified conflicts are reviewed by the archdiocese controller, cfo, director of human resources, and the archdiocese audit committee.
