Governance Explanations

In accordance with the bylaws of PaintCare, there is only one sole member, American Coatings Association, Inc. Members of the PaintCare Board of Directors are elected and/or removed by the sole member.

Form 990, Part VI, Section A, line 7A

Officers on the PaintCare Board of Directors are elected at the annual meeting of the American Coatings Association Board. Each officer shall hold office until his successor is elected, qualified, and takes office.

Form 990, Part VI, Section A, line 7B

In accordance with the bylaws of PaintCare, there is only one sole member, American Coatings Association, Inc. Members of the PaintCare Board of Directors are elected and/or removed by the sole member. Officers of the Board of Directors are elected at the annual meeting of the American Coatings Association Board. Each officer shall hold office until his successor is elected, qualified, and takes office. The Bylaws may be altered, amended or repealed in their entirety by a vote of two-thirds (2/3) of the members of the Board, subject to ratification and approval by the sole member.

Form 990, Part VI, Section B, line 11B

The independent auditing firm engaged to conduct the annual audit of the organization prepares the form 990 on the basis of the independently audited financial statements. Specific questions in the return are sent to the appropriate officials. Once a draft is completed, the CFO reviews the draft for accuracy and completeness. Any proposed changes or questions are discussed at that time. In addition, the auditing firm is available for any questions.

Form 990, Part VI, Section B, line 12C

Per the PaintCare conflict of interest policy, each director, principal officer, key employee, or member of a committee with governing board delegated powers ("interested person"), has a duty to disclose any actual or possible conflict of interest. The interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considereing the proposed transaction or arrangement. If the governing board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. If a member fails to disclose an actual or possible conflict of interest, the governing board or committee shall take the appropriate disciplinary and corrective action if necessary. Each interested person is notified of the conflict of interest policy and required to comply. To monitor the policy, periodic reviews are conducted, using outside experts as needed. PaintCare's employee policies also require all employees to immediately disclose any conflicts of interest.

Independent compensation consultants are retained by PaintCare to evaluate industry market trends and present recommendations as part of an annual compensation review.

IRS990/ProgSrvcAccomActyOtherGrp/Desc7District of Columbia (DC) Program: The law creating ACA's PaintCare program in the District of Columbia was enacted on March 11, 2015, following U.S. Congressional review. The District of Columbia Paint Stewardship Act Of 2014 (Act Number A20-0501), signed by then-Mayor Vincent Grey on Dec. 8, 2014, brought paint stewardship to the District of Columbia in November 2016.
